The annual service fee due from MWA and MMA for wastewater conveyance shall be paid in four quarterly installments in accordance with the following formula: Quarterly Service Fee = (A/B) x (C/4) x (D/E) Where:A = Total Actual Quarterly Flow of MWA or MMA through Joint Use Conveyance Facilities B = Total Actual Quarterly Flow for the Joint Use Conveyance Facilities C = Estimated Annual Budget for operation of the Joint Use Conveyance Facilities.
Each Participant agrees to comply with all present and future Requirements lawfully made and applicable to such Participant with re- spect to its Collection System and use of any Joint Use Conveyance Facilities and the Inter- municipal Facilities; provided, however, that nothing contained herein shall be construed to re- quire compliance with respect to a Requirement during any period when that Requirement is be- ing diligently contested in good faith.
Joint Use Facilities shall mean facilities and equipment which are identified as Joint Use Facilities in Appendix C, Section 4, which are owned by either National Grid or the Developer and which contribute to the operational reliability of the New York State Transmission System and are, therefore, operated jointly by National Grid and the Developer.
This Lease shall supersede and replace the License and Joint Use Agreement of January 9, 2018 and the License and Joint Use Agreement of June 8th, 2011.
Developer and National Grid shall, to ensure the operational reliability of the New York State Transmission System, jointly operate the Joint Use Facilities listed in Section 4 of Appendix C of this Agreement in a safe and reliable manner in accordance with this Agreement, with NYISO tariffs and procedures, and with National Grid requirements as such requirements are set forth in Section 3 of Appendix C of this Agreement.
