Junior Priority Documents definition

Junior Priority Documents means the Initial Junior Priority Documents and any Additional Documents in respect of any Junior Priority Obligations.

Junior Priority Documents shall have the meaning given to such term by the Junior Lien Pari Passu Intercreditor Agreement.

Junior Priority Documents means the Original Second Lien Facility Documentation and any Additional Documents in respect of any Junior Priority Obligations.

• Notwithstanding the foregoing, no Grantor shall have any right to consent to or approve any amendment, modification or waiver of any provision of this Agreement except to the extent that such amendment, modification or waiver (i) adversely affects or impairs its rights hereunder, under the Senior Priority Documents or under the Junior Priority Documents or (ii) imposes any additional obligation or liability upon it.

More Definitions of Junior Priority Documents

Junior Priority Documents means, (a) with respect to the ABL Priority Collateral, prior to the Discharge of ABL Priority Obligations, the Note Documents, and (b) with respect to the Note Priority Obligations, prior to the Discharge of Note Priority Obligations, the ABL Documents.

Junior Priority Documents means the Junior Priority Indenture, the Junior Priority Notes, each Additional Pari Passu Junior Priority Agreement, the Junior Priority Collateral Documents and those other ancillary agreements as to which the Junior Priority Collateral Agent or any other Junior Priority Secured Party is a party or a beneficiary (including any intercreditor or joinder agreements) and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Junior Priority Credit Party or any of its respective subsidiaries or Affiliates, and delivered to the Junior Priority Collateral Agent, the Junior Priority Trustee or any Additional Pari Passu Junior Priority Agent, in connection with any of the foregoing or any Junior Priority Document, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time in accordance with the terms thereof.

Junior Priority Documents means, collectively, the following: (a) the Junior-Priority Secured Notes Indentures, (b) the Junior-Priority Secured Notes, (c) the Junior-Priority Security Agreement and the other Junior-Priority Security Documents, (d) any Additional Junior-Priority Document and (e) all agreements, documents and instruments at any time executed and/or delivered by any Grantor or any other Person to, with or in favor of, any Junior-Priority Secured Party in connection with any of the documents referred to in clauses (a) through (d) above or related to any thereto, as all of the foregoing now exist or may hereafter be Refinanced (in whole or in part).

Junior Priority Documents means (i) any Additional Junior-Priority Document and (ii) any other related document or instrument executed or delivered pursuant to any document in subclause (i) at any time or otherwise evidencing or securing any Obligation arising under any such Junior-Priority Document.

Junior Priority Documents means, collectively, (a) the 2029 Junior-Priority Secured Notes Indenture (including the notes authenticated and issued thereunder), the 2030 Junior-Priority Secured Notes Indenture (including the notes authenticated and issued thereunder) and the Junior-Priority Security Documents, (b) any Additional Junior-Priority Document and (c) any other related document or instrument executed or delivered pursuant to any document in subclauses (a) and (b) at any time or otherwise evidencing or securing any Obligation arising under any such Junior-Priority Document.

Junior Priority Documents means (a) the Junior Priority Indenture, the Junior Priority Notes, the Junior Priority Collateral Documents and the other Note Documents (as defined in the Existing Junior Priority Indenture, or any equivalent term under any future Junior Priority Indenture entered into to extend, replace, Refinance or refund in whole or in part the Indebtedness and other obligations outstanding under the Existing Junior Priority Indenture (or then existing extensions, replacements, Refinancings or refundings thereof)), and (b) and each of the other agreements, documents and instruments providing for, evidencing or securing any Junior Priority Obligation, and any other document or instrument executed or delivered at any time in connection with any Junior Priority Obligations under the Junior Priority Indenture, the Junior Priority Notes and the other Note Documents (as defined in the Existing Junior Priority Indenture, or any equivalent term under any future Junior Priority Indenture entered into to extend, replace, Refinance or refund in whole or in part the Indebtedness and other obligations outstanding under the Existing Junior Priority Indenture (or then existing extensions, replacements, Refinancings or refundings thereof)), including any intercreditor or joinder agreement among holders of Junior Priority Obligations, in each case to the extent such are effective at the relevant time and as each may be amended, supplemented, modified or Refinanced from time to time in accordance with the provisions of this Agreement.
