JV Documents definition

JV Documents means the documents governing the management, operations and rights of joint venture partners or other equity holders in the Transferred Joint Venture Entities (including all certificates of incorporation, bylaws, partnership agreements and operating agreements), as in effect on the date hereof (including all amendments or supplements thereto).

JV Documents shall have the meaning set forth in Section 7.4(i).

JV Documents means the definitive agreements documenting the joint development and license arrangement between the Company and Sorrento Therapeutics, Inc.

Examples of JV Documents in a sentence

• No defaults or breaches under or of any JV Documents by any Loan Party is in existence, and to the actual knowledge of Borrowers, no defaults or breaches under or of any JV Documents by any other party thereto is in existence.

• Borrowers have delivered to Agent true, correct and complete copies of all material agreements executed in connection with the Borrowers' investments in the Existing JVs and which are currently in effect (the "JV Documents"), including without limitation all contribution or other investment agreements and the German Joint Venture Distribution Agreement.

More Definitions of JV Documents

JV Documents means, collectively, this Agreement, the Organizational Documents of the JV, the Distribution Agreements, the Services Agreements and any agreed executed and delivered by the JV and/or the Shareholders in connection with any of the foregoing or this Agreement.

JV Documents means (i) this Agreement and (ii) the Stockholders' Agreement. Any reference to a JV Document with respect to a party means any JV Document to be executed by such party.

JV Documents means the articles of incorporation, certificate of formation, certificate of incorporation, charter, bylaws, articles of formation, articles of organization, regulations, operating agreement, certificate of limited partnership, partnership agreement, limited liability company agreement, shareholders agreement, joint venture agreement and all other similar documents, instruments or certificates of or relating to the governance or management of any Person (other than the Issuer and the Restricted Subsidiaries) that owns or controls any real property within a Five Point Community and in which the Issuer or any Restricted Subsidiary owns an interest or is otherwise bound, in each case, as it may be amended, restated, replaced, or otherwise modified from time to time in a manner not prohibited by this Indenture.

JV Documents means the JV Agreement and any forms and annexures which form an integral part of the JV Agreement.

JV Documents means the Formation Agreements and each other agreement, document and instrument executed and delivered by Borrower, the Anadarko JVs or any other Subsidiary and any counterparty thereto in connection with the Anadarko Formation, including, without limitation, the Operating Agreements. LC Commitment at any time shall mean $50,000,000. LC Exposure at any time means the sum of (i) the aggregate amount available to be drawn under all outstanding Letters of Credit plus (ii) the aggregate of all amounts drawn under all Letters of Credit and not yet reimbursed.

JV Documents means the sino-foreign equity joint venture contract and articles of association to be entered into for the establishment of the sino-foreign equity joint venture company under the Reorganisation;

JV Documents means the documents identified on Schedule 1.01(a).
