Knowledge of SPAC definition

Knowledge of SPAC or any similar expression means the knowledge that each individual listed on Section 1.1 of the SPAC Disclosure Letter actually has, or the knowledge that any such individual would have acquired following reasonable inquiry of his or her direct reports directly responsible for the applicable subject matter;

Knowledge of SPAC means the actual knowledge of each of the directors of the SPAC as of the date hereof.

Examples of Knowledge of SPAC in a sentence

• To the Knowledge of SPAC, as of the date of this Agreement, following the Closing, no SPAC Stockholder will be entitled to receive any amount from the Trust Account except to the extent such SPAC Stockholder properly exercises his, her or its SPAC Stockholder Redemption Right.

Knowledge of SPAC means the knowledge of the individuals identified on Schedule III, as such individuals would have acquired in the exercise of reasonable inquiries of direct reports.
