Knowledge of the Seller Parties definition

Knowledge of the Seller Parties means, as to a particular matter, the actual knowledge, after reasonable inquiry of the following persons: Xxxxxxx X. Xxxxxxx, Xxxxxxx X. Xxxxxxxxxx, Xxxxxx X. Parent, Xxxx Xxxxx and Xxxxxx Xxxxxx.

Knowledge of the Seller Parties. (or words of similar import) means the current, actual, conscious (and not constructive, imputed or implied) knowledge of the persons named on Schedule A-2 without having made a review of files or other independent inquiry. No such person shall have any personal liability or obligation whatsoever with respect to any of the matters set forth in this Agreement and any other documents, agreements or instruments related thereto or any of the representations made by the Seller Parties being or becoming untrue, inaccurate or incomplete in any respect.

Knowledge of the Seller Parties means, as to a particular matter, the actual knowledge, after reasonable due inquiry, of the following persons: Xxxxxxx X. Xxxxxxx, Xxxxxxx X. Xxxxxxxxxx, Xxxxxx X. Parent and the Station Manager, Business Manager and Station Chief Engineer for the Station.

• No Seller Party has any Knowledge of any public improvements which have been ordered to be made and/or which have not heretofore been assessed, and, to the Knowledge of the Seller Parties, there are no special, general or other assessments pending or threatened against or affecting any of the Real Property (except those expressly identified in the Title Commitment).

Knowledge of the Seller Parties means solely as to any of the individuals listed on Section 1.1(b) of the Seller’s Disclosure Schedule, those facts, circumstances, events or matters as to which any such individual has actual knowledge, after such individual’s reasonable inquiry.
