Knowledge or Awareness definition

Knowledge or Awareness an individual will be deemed to have "Knowledge or Awareness" of a particular fact or other matter if:
Knowledge or Awareness means the knowledge of such individual (or, if an entity, the executive officers of such entity) and the knowledge a reasonable person in such position, ownership or authority should have known.
