Library Value Report definition

Library Value Report means a third-party appraisal setting forth the applicable Library Value as of a recent date in form and substance reasonably acceptable to the Administrative Agent.

Library Value Report means a report from the Acceptable Appraiser as may be delivered pursuant to Section 2.20 and setting forth the aggregate value of the Distributed and Licensed Content and Owned Library Content (based on five-year discounted cash flow criteria and five-year ultimates value of Adjusted Gross Margin) as of such date of delivery.

Examples of Library Value Report in a sentence

  • The Term Loan Borrowing Base shall be recomputed at the end of each Fiscal Quarter for which a Compliance Certificate shall be delivered and for the avoidance of doubt, the Borrower may at any time request from an Acceptable Appraiser and deliver an updated Library Value Report, upon which the computations of the Term Borrowing Base will be adjusted to take into account such updated Library Value Report.

  • Commencing with the first anniversary of Closing Date, and annually thereafter, or, to the extent an updated Library Value Report was prepared with respect to any Material Library Value Event, annually after the delivery of such updated Library Value Report, the Borrower shall deliver the Library Value Report to the Administrative Agent.

  • ESDM Report means the Emission Summary and Dispersion Modelling Report, dated June 12, 2009, prepared in accordance with the Procedure Document by Golder Associated Ltd. and submitted in support of the application, and includes any amendments to the ESDM Report listed in Schedule A and all up-dated ESDM Reports prepared as required by the Documentation Requirements conditions of this Certificate.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 11, 2022 and effective December 31, 2021.

  • Acoustic Assessment Report means the report, prepared in accordance with Publication NPC-233 and Appendix A of the Basic Comprehensive User Guide,by HGC Engineering and dated August 22, 2008 submitted in support of the application, that documents all sources of noise emissions and Noise Control Measures present at the Facility and includes all up-dated Acoustic Assessment Reports as required by the Documentation Requirements conditions of this Certificate to demonstrate continued compliance with the Performance Limits following the implementation of any Modification.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.

  • Development Report means a written account of Licensee’s progress under the Development Plan having at least the information specified on Appendix B to this Agreement, and shall be sent to the address specified on Appendix B.

  • Phase I Report means, with respect to any Facility, a report that (i) conforms to the ASTM Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process, E 1527, (ii) was conducted no more than six months prior to the date such report is required to be delivered hereunder, by one or more environmental consulting firms reasonably satisfactory to Administrative Agent, (iii) includes an assessment of asbestos-containing materials at such Facility, (iv) is accompanied by (a) an estimate of the reasonable worst-case cost of investigating and remediating any Hazardous Materials Activity identified in the Phase I Report as giving rise to an actual or potential material violation of any Environmental Law or as presenting a material risk of giving rise to a material Environmental Claim, and (b) a current compliance audit setting forth an assessment of Holdings’, its Subsidiaries’ and such Facility’s current and past compliance with Environmental Laws and an estimate of the cost of rectifying any non-compliance with current Environmental Laws identified therein and the cost of compliance with reasonably anticipated future Environmental Laws identified therein.

  • CREFC® Investor Reporting Package® shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.

  • Feasibility Report means a detailed written report of the results of a comprehensive study on the economic feasibility of placing the Property or a portion thereof into Commercial Production and shall include a reasonable assessment of the mineral ore reserves and their amenability to metallurgical treatment, a description of the work, equipment and supplies required to bring the Property or a portion thereof into Commercial Production and the estimated cost thereof, a description of the mining methods to be employed and a financial appraisal of the proposed operations supported by an explanation of the data used therein;

  • Survey Report means a report of the results of a Survey, containing the information set out in clause 12.4 and Schedule 6.

  • Initial Engineering Report means the engineering report concerning Oil and Gas Properties of Loan Parties dated as of June 30, 2006 prepared by Netherland, Xxxxxx & Associates and XxXxxxxx & XxxXxxxxxxx.

  • Purchase Report has the meaning set forth in Section 2.1 of the Sale Agreement.

  • Payment Date Report has the meaning assigned to such term in Section 8.07(b).

  • Progress Report means the report similar in form and content to that attached hereto as Appendix III.

  • Detailed Project Report or ‘‘DPR’’ means the detailed project report relating to Station Development Project and Redevelopment Project attached hereto;

  • Royalty Report shall have the meaning set forth in Section 7.1.

  • Engineering Report means either an Independent Engineering Report or an Internal Engineering Report.

  • MERS Report The report from the MERS System listing MERS Designated Mortgage Loans and other information.

  • Final Report means the report described as a final report in 14 RCW 42.17.080(2).

  • Test Report means a written report issued by The Sequoia Project that documents the outcomes of the Testing Process; that is, the Applicant’s compliance with the Specifications and Test Materials.
