The minimum fees set out in Clauses 5.1, 5.2 and 5.3 and Clause 6.1 are applicable in the Licence Year in which the Licence Start Date falls and shall be adjusted with effect from 1 January of each Licence Year so as to reflect any increase in the RPI by multiplying the amount by the RPI published in the October preceding the start of such Licence Year and by dividing the result by the RPI published in the October prior to that.
This Agreement shall not come into force (and permission to use PPL’s repertoire and PRS for Music’s repertoire on the terms of this Agreement shall not be effective) if at the time of application the Licensee did not hold valid licences from both PPL and PRS for Music in relation to the operation of all elements of the Service for the period immediately prior to the Licence Start Date.
Where the Licence Start Date is after the date of commencement of any Quarter, the minimum fees due under Clauses 5.1, 5.2 and 5.3 and Clause 6.1 for that Quarter shall be adjusted using the ratio between the number of days in that Quarter from the Licence Start Date onwards and the total number of days in that Quarter.
