Licensee will be responsible for fulfilling all pharmacovigilance activities pursuant to the local regulations and requirements for the Licenced Products in the Territory and provide MPP and Pfizer with a report containing information regarding all such activities.
If this Agreement is terminated prior to its expiration, upon such termination Licensee shall cease all production and sale of Licensed Products except for the production and sale of Licenced Products on which production is completed prior to the notice of such termination.
Such share shall be determined having regard to the development stage which the Licencee (or its Sub-Licencee) has reached at the date of termination in respect of the Topical Licenced Products or Non-Topical Licenced Products.
Grantor shall not unreasonably reject such petition if the petition is supported by a substantial showing that Grantee has diligently used reasonable efforts to bring the Licenced Products to a point of practical application and make the Licenced Products available to the public.
The Grantee shall effectively carry out its development and marketing plan submitted with its application for the licence granted in this Licenced Agreement, and shall take those steps necessary to effectively bring the Licenced Product(s) to a point of practical application within a reasonable time, and shall make the Licenced Product(s) reasonably available to the public.
The foregoing obligations shall not apply in relation to contracts the Licencee enters into with Third Party Service Providers, provided that: (a) such contracts relate to the provision of services to the Licencee or a Sub-Licencee in connection with the Licenced Products; and (b) no rights are granted to the Third Party Service Provider to: (i) research, develop or manufacture its own products; or (ii) sell the Licencee’s Products.

The Milestone Payments relating to Net Sales shall be payable only once for the first occurrence of the specified Milestone Event, regardless of the number of Licenced Products that achieve such Milestone Payments as specified in Part 2 of the Schedule.
To the extent Applicable Law permits Nanomerics to conduct research and development activities with respect to Compounds or Licenced Products notwithstanding the exclusive licence grants to Virpax under Section 3.1, Nanomerics agrees that neither it nor its Affiliates will publish or present any material or file any Patent applications with respect to such activities without the prior written consent of Virpax in each case.
For purposes hereof, a "Substantial Infringement" shall be an infringement of Technology or Marks (i) where failure by Amerimmune to take appropriate action against such infringement would result in partial or total loss or abandonment of rights to the infringed Technology and/or Marks, or (ii) if the infringement has resulted in more more than a 25% reductions in sales of Licenced Products in any country after introduction into the market in such country of the infringing product.
