Licensed Cell Line definition

Licensed Cell Line means a transformed or transfected (using WuXi Biologics’ Construct(s)) version of the Host Cell Line that produces the Client Product.
Licensed Cell Line means the hybridoma cell line BC3 described in Anasetti, C. et. al., “Induction of specific nonresponsiveness in unprimed human T cells by anti-CD3 antibody and alloantigen”, J Exp. Med., 172, pp. 1691-1700 (1990) and Anasetti, C. et. al., Treatment of acute graft-versus-host disease with a nonmitogenic anti-CD3 monoclonal antibody, Transplantation, 54, pp. 844-851 (1992), and all progeny, clones, derivatives and modifications thereof. Such derivatives and modifications shall not include antibodies which are not derived from or developed using the LICENSED CELL LINE and/or LICENSED MONOCLONAL ANTIBODY (collectively, “LICENSED MATERIALS”) and which have been entirely made with the use of information or materials available in the public domain.
Licensed Cell Line means the [*] cell line and all progeny, clones, derivatives and modifications thereof.

Examples of Licensed Cell Line in a sentence

  • Licensee shall not transfer the Licensed Cell Line to any Third Party except to a permitted sublicensee, as described in Section 2.2 above, permitted Third Party Manufacturer, or an assignee.

  • Licensee agrees that no attempt will be made by or on behalf of Licensee to modify or reverse engineer the Licensed Cell Line or attempt to reverse engineer, recreate or assemble the Construct(s).

  • Licensee shall only use the Licensed Cell Line in the way as permitted by this Agreement and shall not use or have used the Licensed Cell Line for any purpose other than as provided hereunder, including operating the Process, the manufacture of Client Product, Drug Substance and Drug Product, and for other purposes reasonably related to securing Marketing Authorization Approval for the Client Product and/or Drug Product.

  • If Licensee manufactures all of its commercial supplies of the applicable Drug Substance derived from Licensed Cell Line derived from [***] Cell Line by WuXi Biologics or its Affiliates, ​ ​ no additional Royalty is applicable and no additional Royalty payment shall be due under this Section.

  • If Licensee manufactures part of its commercial supplies of the applicable Drug Substance derived from Licensed Cell Line derived from [***] Cell Line using WuXi Biologics’ or its Affiliates’ manufacturing facilities, the additional Royalty under this Section 5.2 shall be reduced accordingly [***], depending on [***].


More Definitions of Licensed Cell Line

Licensed Cell Line means the [*]. Such derivatives and modifications shall not include antibodies which are not derived from or developed using the Licensed Materials and which have been entirely made with the use of information or materials available in the public domain.
Licensed Cell Line has the meaning as set out in Section 2.1(a).
Licensed Cell Line means the hybridoma cell line which will produce the Licensed Antibody in the quantity reasonably required by SIGMA.
Licensed Cell Line means a transformed or transfected version of the Host Cell Line that expresses recombinant proteins designated by the Licensee under the MSA.
Licensed Cell Line means the cell line developed by WuXi Biologics that produces the Client Product. Licensed Cell Line includes: the Host Cell Line alone or the [***] Cell Line (which includes the Host Cell Line); WuXi Biologics’ proprietary Construct component; and the sequence encoding the recombinant protein.
Licensed Cell Line has the meaning set forth in the Cell Line License Agreement.

Related to Licensed Cell Line

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Cell Line means a mammalian cell line that is developed using the Selexis Technology.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensed Know-How means any and all unpatented and/or non-patentable technical data, documents, materials, samples and other information and know‐how that is Controlled by LICENSOR or any of its Affiliates as of the Effective Date or thereafter during the Term that relates to, or is otherwise reasonably necessary or reasonably useful for, the use, Development, manufacture, or Commercialization of the Product. Licensed Know-How shall not include Licensed Patents.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Collaboration Know-How means all Know-How conceived, discovered, developed or otherwise made by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing (solely or jointly by or on behalf of a particular Party or any of its Affiliates or permitted subcontractors of any of the foregoing) in the course of [***].

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Company Technology means all Technology that is used by or on behalf of the Company or any of its Subsidiaries to create the Company Products and/or that is currently used in connection with the conduct of the business of the Company or any of its Subsidiaries.

  • Collaboration Technology means all Collaboration Patents and Collaboration Know-How.
