Any damages or costs recovered in connection with any action filed by Acorda under this Section 7.1 which exceed Acorda’s out-of-pocket costs and expenses of litigation, shall be deemed to be Net Sales of Licensed Enzyme Products in the fiscal quarter received by Acorda.
Acorda shall, either through its own efforts and/or those of its Affiliates, use commercially reasonable efforts to develop and commercialize, and/or sublicense for development and commercialization, Licensed Enzyme Products and Licensed Small Molecule Inhibitor Products (subject to the limitation on sublicensing in Section 2.4 with respect to Small Molecule Inhibitor Products) as it deems appropriate, in the exercise of its business judgment.
Acorda may provide comments to the Institutions regarding such patent prosecution (including but not limited to guidance in the drafting of claims for the Patent Application and other Licensed Patents) and the Institutions will pay due and reasonable consideration to such comments regarding claims relating directly to Licensed Enzyme Products.
Subject to Sections 3.2(a) and 3.4, Acorda shall pay the Institutions royalties in the amount of two and one-half percent (2.5%) of the aggregate Net Sales of Licensed Enzyme Products made by Acorda and/or its Affiliates in countries in the Licensed Territory where such sales are covered by a Valid Claim in an issued patent in the Licensed Patents.
Upon exercise of the Option, and payment of the license fee set forth in Section 5.2 herein, Diversa will grant to RPAN an exclusive, worldwide license, including the right to grant sublicenses, to use the Licensed Enzyme to the extent necessary to make and have made the Catalyst to use in the production of the Product (the "License").

In the event that LLC or DIVERSA receives a written notice of an allegation of possible patent infringement from a Third Party or determines that there is such possible infringement based on the use of an Enzyme, material or Licensed Enzyme, such Party shall, within thirty (30) days, notify the other Party in writing and provide an explanation of the circumstances.
