Liquidity Facility Documents definition

Liquidity Facility Documents has the meaning given to such term in Section 3.15.
Liquidity Facility Documents means the Liquidity Facility, the Reimbursement Agreement and any documents, agreements and/or instruments (including any security documents) executed and/or delivered in connection with the issuance of the Bonds.
Liquidity Facility Documents means the Liquidity Facility Agreement and related documentation (based on the terms set out in the Liquidity Facility Term Sheet and this Commitment Letter) in form and substance satisfactory to the parties thereto.Unless a contrary indication appears, a term defined in any Commitment Document has the same meaning when used in this Commitment Letter.

  • Such notice shall also constitute the notice of mandatory tender of the Bonds on the related Liquidity Facility Date; provided, however, that in addition to the information required by Section 3.10(d), such notice shall state that such mandatory tender of the Bonds will not occur if, on or prior to the proposed Liquidity Facility Date, the Tender Agent does not receive such Liquidity Facility, together with the Supporting Liquidity Facility Documents (as defined in paragraph (e) below).

  • The representations and warranties set out in paragraph 7.1 are deemed to be made by the Company daily by reference to the facts and circumstances then existing commencing on the date of this Commitment Letter and continuing until the date the Liquidity Facility Documents are signed.

  • The Company shall promptly on demand pay the Agent and each Lender the amount of all costs and expenses (including legal fees) reasonably incurred by any of them in connection with the negotiation, preparation, printing and execution of the Liquidity Facility Documents whether or not the Liquidity Facility Documents are signed.

  • In order to accomplish the Mode Change, it is necessary to agree to certain covenants required by the Bond Insurer; to amend the Resolution with respect to certain provisions therein; to purchase a Liquidity Facility from a Liquidity Facility Provider and to execute and deliver the Liquidity Facility Documents; to appoint a Remarketing Agent for the Bonds and to execute and deliver a Remarketing Agreement, and to appoint a Tender Agent for the Bonds and to enter into a Tender Agent Agreement.

  • Liquidity Agreement means any agreement entered into in connection with this Agreement pursuant to which a Liquidity Bank agrees to make purchases from or advances to, or purchase assets from, any Conduit Lender in order to provide liquidity support for such Conduit Lender’s Advances hereunder.

  • Credit Facility Provider means the issuer of or obligor under a Credit Facility.

  • Collateral Agency and Intercreditor Agreement means that certain Collateral Agency and Intercreditor Agreement, dated as of January 31, 2008 (as amended, amended and restated, supplemented or otherwise modified from time to time in compliance with the terms of this Indenture), by and among the Company, the other guarantors from time to time party thereto, the secured debt representatives and the Collateral Agent.

  • Bank Credit Facility means any credit agreement or working capital facility among the Company and/or its Subsidiaries and one or more lenders, as such credit agreement or working capital facility may be amended, renewed, extended, substituted, refinanced, restructured, replaced, supplemented or otherwise modified (including with other lenders) from time to time, regardless of whether any other credit agreement or working capital facility or any portion thereof was outstanding or in effect at the time of such amendment, renewal, extension, substitution, refinancing, restructuring, replacement, supplement or modification.
