  • Netwrix may deny Maintenance Services during any Maintenance Services Term if it has not received all applicable fees.

  • Before the end of the eleventh (11th) month of each twelve (12) month Maintenance Services Term, Avid may adjust the annual Maintenance Fees for the successive Term by providing written notice to Licensee.

  • For the avoidance of doubt, if the Maintenance Services Term is terminated in accordance with the terms of the Contract, Contractor shall not provide, and State shall not be entitled to receive, any Upgrades after the date on which such termination is effective.

  • Each Maintenance Services Term will automatically renew for subsequent terms of the same duration, unless Licensee notifies Netwrix in writing that it will not renew at least sixty (60) days in advance of the end date of the then-current term.
