MAKO Field definition

MAKO Field means the medical specialty of orthopedic surgery, which includes, without limitation, the preservation, restoration, development, repair and correction of the musculoskeletal system and associated structures, including, without limitation, the spine and neck, but which expressly excludes non-bone oncology, blood vessels and vitals organs, neurology (which is the medial specialty concerned with the brain, spinal cord and nervous system), non-spine neurosurgery, cranial neurosurgery, ENT and otolaryngology.
MAKO Field means the field of [***].
MAKO Field shall be defined as [***], which more specifically means any use of a system [***].

  • Subject to all of the terms and conditions of this Agreement, and in particular the limitations of Section 2.3, Z-KAT grants to MAKO, to the extent it has a right to do so, a worldwide, fully transferable, perpetual, royalty-free and fully paid-up license (or sublicenses, as the case may be) under the Licensed IP Rights within, and limited to, the MAKO Field (the “License”).

  • Z-KAT will not enforce the Licensed IP Rights inside the MAKO Field without the prior consent of MAKO.

  • MAKO will not enforce any of the Licensed IP Rights outside the MAKO Field without the prior consent of Z-KAT.

  • MAKO shall own all right, interest and title to any improvements made by MAKO to the System IP, which shall be, and hereby is, licensed back to ENCORE on a royalty-free, world-wide, non-exclusive basis for use outside of the MAKO Field.

  • Without limiting the grants contained in the License, for as long as MAKO has rights to the Licensed IP Rights, ISS hereby grants MAKO a [***] business days right of first refusal to enter into any arrangement or transaction (whether for the license, transfer or otherwise) concerning the Licensed IP Rights for fields other than the MAKO Field, for which ISS receives a bona fide offer from a third party.

  • Subject to all of the terms and conditions of this Agreement, ISS grants to MAKO a worldwide, fully transferable, perpetual, royalty-free and fully paid-up (a) exclusive license under the Licensed IP Rights, even as to ISS, within the MAKO Field, and (b) non-exclusive license under the Licensed IP Rights, but subject to the provisions of Article 2.4, within the field of Orthopedics (collectively, the “License”).

  • MAKO will not enforce any of the Licensed IP Rights outside the MAKO Field without the prior consent of ISS.

  • MAKO may enforce the Licensed IP Rights inside or outside the MAKO Field without the prior consent of Z-KAT.

MAKO Field means the field of computer assisted surgery.
MAKO Field means surgery performed in the field of orthopedics and spinal surgery performed in the field of neurology, each practiced in combination with a Robotic Device. “MAKO Licensed Product shall mean a Robotic Device primarily designed for Surgery in the medical field of orthopedics and/or primarily designed for spinal Surgery in the medical field of neurology.

  • Licensed Field means all fields of use.

  • Licensed Field of Use means all fields.

  • Field of Use means all fields of use.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Exclusive Field means the diagnosis, treatment or prevention of any cancer in humans through the use of Engineered T-Cells, which shall exclude the diagnosis, treatment or prevention of medullary cystic kidney disease 1 regardless of whether such disease is characterized as a cancer.

  • Commercialization or “Commercialize” means any and all activities undertaken at any time for a particular Licensed Product and that relate to the manufacturing, marketing, promoting, distributing, importing or exporting for sale, offering for sale, and selling of the Licensed Product, and interacting with Regulatory Authorities regarding the foregoing.

  • Hemp products means all products made from industrial hemp,

  • Licensed Product means any pharmaceutical product containing a Licensed Compound (alone or with other active ingredients), in all forms, presentations, formulations and dosage forms.

  • New Products means any product which is not an Enhanced Product or Existing Product but which is substantially similar to an of this Agreement, "New Product" or "New Products" shall mean any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • Commercialize or “Commercialization” means the marketing, promotion, sale (and offer for sale or contract to sell), distribution, importation or other commercial exploitation (including pricing and reimbursement activities) for a Product in the Territory. Commercialization shall include commercial activities conducted in preparation for Product launch.

  • Research License means a nontransferable, nonexclusive license to make and to use the Licensed Products or the Licensed Processes as defined by the Licensed Patent Rights for purposes of research and not for purposes of commercial manufacture or distribution or in lieu of purchase.

  • Field means all fields of use.

  • Fields of Use means UltraTemp, Ceris or Ceros technology for the transportation or appliance gas ignition markets.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.
