In addition, the Buyer and certain Management Equityholders may enter into agreements between the date hereof and the Closing Date whereby all or a portion of such Management Equityholders Shares (which would otherwise be sold to Buyer pursuant to this Agreement) may be contributed by such Management Equityholders to the capital or exchanged for capital stock or options to acquire equity interests of the Buyer (or the parent of the Buyer).
