Material Parties definition

Material Parties has the meaning set forth in Section 4.17.
Material Parties means the Borrower and all Material Subsidiaries from time to time and shall include the general partners of any limited partnership that is a Material Party and "Material Party" shall mean any one of the Material Parties.
Material Parties has the meaning set forth in Section 3.6(c).

Examples of Material Parties in a sentence

  • Since January 1, 2023, none of the Material Parties have canceled or terminated or demanded a material reduction or change in the pricing or other terms of its business relationship with the Business or notified Seller or any of its Affiliates of any intention to do either of the foregoing.

  • Without notice to Broker or Material Parties, Acra Lending may periodically obtain both business credit reports concerning Broker and personal credit reports concerning Material Parties.

  • Broker will notify REDSTONE immediately of any change to its Material Parties or any change in control of Broker.

Related to Material Parties

  • Material Properties means (a) those Mortgaged Properties designated on Schedule 3.12 as Material Properties and (b) each other Mortgaged Property with respect to which a Mortgage is granted pursuant to Section 5.11 after the Restatement Effective Date.

  • Material Company means, at any time:

  • High managerial agent means an officer of a nursing facility, the administrator and assistant administrator of the nursing facility, the director and assistant director of nursing services, or any other agent in a position of comparable authority with respect to the formulation of policies of the nursing facility or the supervision in a managerial capacity of subordinate employees.

  • PRC Subsidiaries means all Company Subsidiaries organized under the Laws of the PRC.

  • Adverse Effect means, with respect to any action, that such action will (a) result in the occurrence of an Event of Default or (b) materially and adversely affect (i) the amount or timing of payments to be made to the Lenders pursuant to this Agreement or (ii) the existence, perfection, priority or enforceability of any security interest in a material amount of the Pledged Receivables taken as a whole or in any material part.

  • Noncustodial parent means a person who, at the time of the commencement of court proceedings in the sending state, does not have sole legal custody of the child or has joint legal custody of a child, and who is not the subject of allegations or findings of child abuse or neglect.

  • Transaction Party means the Company and each Guarantor, collectively, “Transaction Parties”.

  • Material Project means the construction or expansion of any capital project of the Borrower or any of its Subsidiaries, the aggregate capital cost of which exceeds $50,000,000.

  • Material Financial Obligations means a principal or face amount of Debt (other than (i) the Loans and (ii) Non-recourse Debt) and/or payment or collateralization obligations in respect of Derivatives Obligations of the Borrower and/or one or more of its Subsidiaries, arising in one or more related or unrelated transactions, exceeding in the aggregate $150,000,000.
