Materials IP definition

Materials IP means Intellectual Property comprised in Project Technology with respect to Materials and methods of manufacture of Materials;
Materials IP has the meaning given to it in clause 12.2;
Materials IP means, collectively, (i) Patents Controlled by a Materials Transferring Party that Cover the Materials, and (ii) Know-How Controlled by a Materials Transferring Party that pertains specifically to Materials. For clarity, Materials IP specifically excludes: (a) in the event that FivePrime is the Materials Transferring Party, the FivePrime Platform Technology, FivePrime Background Know-How, FivePrime Background Patent Rights, FivePrime Collaboration Know-How, FivePrime Collaboration Patent Right and FivePrime’s interest in any Joint Know-How or Joint Patent Rights; and (b) in the event that GSK is the Materials Transferring Party, the GSK Background Know-How, GSK Background Patent Rights, GSK Evaluation Know-How, GSK Evaluation Patent Rights, GSK Licensed Product Know-How, GSK Licensed Product Patent Rights and GSK’s interest in any Joint Know-How and Joint Patent Rights. *** INDICATES MATERIAL THAT WAS OMITTED AND FOR WHICH CONFIDENTIAL TREATMENT WAS REQUESTED. More Definitions of Materials IP

Materials IP means any of the IPR subsisting in any of the Licensed Materials, including the Gender Equity Branding. SCORM or Shareable Content Object Reference Model means standards and technical specifications in existence from time to time that enable e-learning courses to be shared across multiple platforms, and SCORM- Compliant means that the relevant e-learning course has been developed in compliance with those standards and technical specifications.
Materials IP means claims of patents and patent applications that both (i) 24m or an Affiliate develops (that has the earliest priority date after the Effective Date of this Agreement) or first acquires ownership or Control of, only after the Effective Date of this Agreement, and (ii) solely relate to Novel Chemical Entities and/or methods of manufacturing Novel Chemical Entities. For the avoidance of doubt, Materials IP excludes claims of patents and patent applications that relate to preparations (e.g., mixing) of electrolyte, active material and other materials, combinations of such compositions within a battery cell, formulas related to battery cell activation and other processes and methods of manufacturing the battery cells.

Related to Materials IP

  • Third Party Materials means any materials and information, including documents, data, know-how, ideas, methodologies, specifications, software, content, and technology, in any form or media, in which any Person other than the State or Contractor owns any Intellectual Property Right, but excluding Open-Source Components.

  • Background IP means all IP and IP Rights owned or controlled by Seller prior to the effective date or outside the scope of this Contract.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Company Technology means all Technology owned or purported to be owned by the Company.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Know-How means all existing and available technical information, know-how and data, including inventions (whether patentable or not), discoveries, trade secrets, specifications, instructions, processes and formulae, including all biological, chemical, pharmacological, biochemical, toxicological, pharmaceutical, physical, safety, quality control, preclinical and clinical data;

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Materials of Environmental Concern any gasoline or petroleum (including crude oil or any fraction thereof) or petroleum products or any hazardous or toxic substances, materials or wastes, defined or regulated as such in or under any Environmental Law, including asbestos, polychlorinated biphenyls and urea-formaldehyde insulation.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.
