Maximum Manufacturer Percentage definition

Maximum Manufacturer Percentage means, with respect to any Eligible Manufacturer, the percentage amount set forth in Schedule 1 hereto (as such schedule, subject to Rating Agency confirmation, may be amended, supplemented, restated or otherwise modified from time to time) specified for each Eligible Manufacturer with respect to Non-Program Vehicles and Program Vehicles, as applicable, which percentage amount represents the maximum percentage of Eligible Vehicles which are permitted under the Master Lease to be Non-Program Vehicles or Program Vehicles, as the case may be, manufactured by such Manufacturer.

Maximum Manufacturer Percentage means, with respect to any Eligible Manufacturer, the percentage amount of the Aggregate Asset Amount set forth in Schedule 1 hereto (as such schedule, subject to satisfaction of the Rating Agency Condition and prior written approval of each Enhancement Provider, may be amended, supplemented, restated or otherwise modified from time to time) specified for each Eligible Manufacturer with respect to Non-Program Vehicles and Program Vehicles, as applicable, which percentage amount represents the maximum percentage of Eligible Vehicles which are permitted under the Master Lease to be Non-Program Vehicles or Program Vehicles, as the case may be, manufactured by such Manufacturer; provided, however, that any Program Vehicle that is redesignated as a Non-Program Vehicle solely because a Manufacturer Event of Default due to an Event of Bankruptcy has occurred with respect to the Manufacturer thereof shall be deemed to be a Program Vehicle for purposes of determining compliance with the Maximum Manufacturer Percentages set forth on Schedule 1.

Maximum Manufacturer Percentage has the meaning given to it in the applicable Series Supplement.

Examples of Maximum Manufacturer Percentage in a sentence

• Pursuant to Section 8.7(b) of the Series 2001-1 Supplement, the Series 2001-1 Supplement may be amended or modified without the consent of any Series 2001-1 Noteholder but with the consent of RCFC, DTAG, the Trustee and the Series 2001-1 Insurer and written confirmation of the then current ratings of the Series 2001-1 Notes from the Rating Agencies to amend the definition of "Maximum Manufacturer Percentage" and to make changes related thereto.

• The leasing of such Vehicle will not cause the aggregate Net Book Value of Vehicles then being leased under this Lease to exceed the Maximum Manufacturer Percentage with respect to any Eligible Manufacturer and will not cause any of the Lease commitments expressed in paragraph 3 of each of Annex A and Annex B to be exceeded.

• The Series 1999-1 Supplement is hereby amended by amending Schedule 1 referenced in the definition of "Maximum Manufacturer Percentage" in Section 2.1(b).

More Definitions of Maximum Manufacturer Percentage

Maximum Manufacturer Percentage means, with respect to any Eligible Repurchase Manufacturer or Eligible Type II Repurchase Manufacturer, the percentage amount, if any, set forth in Schedule 1 to this Supplement specified for each Eligible Repurchase Manufacturer or Eligible Type II Repurchase Manufacturer with respect to Group V Type I Repurchase Vehicles, Group V Type II Repurchase Vehicles and Eligible Receivables from such Manufacturers, as applicable, which percentage amount represents the maximum percentage of Group V Type I Repurchase Vehicles and Group Type II Repurchase Vehicles which are Eligible Vehicles permitted under the Group V Lease to be Group V Type I Repurchase Vehicles or Group V Type II Repurchase Vehicles, as the case may be, manufactured by such Manufacturer; provided that such percentages may be changed from time to time solely upon the receipt by the Issuer of confirmation from Moody's that such change will not result in the downgrade or withdrawal of any of its then current ratings of the Notes.
