Merlin Franchisor means Merlin Franchisor SPV LLC, a special purpose Delaware limited liability company and a direct, wholly owned subsidiary of Franchisor Holdco.
Franchisor means Marriott International, Inc.
Subfranchisor means a person who is granted a master franchise.
Franchisee means a person to whom a franchise is granted.
Existing Franchise Agreement means that certain franchise license agreement between the Seller and the Franchisor, granting to Seller a franchise to operate the Hotel under the Brand.
Developer means the legal or beneficial owner or owners of a lot or of any land proposed to be included in a proposed development, including the holder of an option or contract to purchase, or other person having an enforceable proprietary interest in such land.
New Franchise Agreement means the franchise license agreement to be entered into between Buyer and the Franchisor, granting to Buyer a franchise to operate the Hotel under the Brand on and after the Closing Date.
Marriott means Marriott International, Inc.
Franchise Agreement or “Agreement” shall mean this Agreement and any amendments or modifications hereto.
Franchise Agreements means (a) the Franchise Agreements set forth on Part IV of Schedule 4.01(p) hereto, and (b) any Franchise Agreement in respect of a Borrowing Base Asset entered into after the Closing Date in compliance with Section 5.01(r).
Licensor means the copyright owner or entity authorized by the copyright owner that is granting the License.
Master Tenant means any entity approved by HUD now or hereafter leasing the Healthcare Facility pursuant to a Master Lease.
Property Manager means an entity that has been retained to perform and carry out at one or more of the Properties property-management services, excluding persons, entities or independent contractors retained or hired to perform facility management or other services or tasks at a particular Property, the costs for which are passed through to and ultimately paid by the tenant at such Property.
Reseller means an entity authorized by Microsoft to resell Licenses under this program and engaged by an Enrolled Affiliate to provide pre- and post-transaction assistance related to this agreement;
Hotel means any establishment used for the purpose of temporary, overnight lodging for which a fee is paid and reservations are required.
Hotel Management Agreement means any management agreements between a Hotel Management Company and Lessee and/or Landlord, as applicable, as such management agreements are amended from time to time for the Hotel.
Existing Manager means THR Property Management L.P.
Starwood shall have the meaning assigned to such term in the preamble to this Agreement.
Licensee has the meaning set forth in the preamble.
brand owner means a person or company who sells any commodity under a registered brand label ;
Owner/operator means the owner(s), operator(s), lessor(s), lessee(s) and/or supervisor(s) of an air contaminant source and/or a person authorized to represent such person(s).
Property Management Agreement means any Property Management Agreement between the Company and the Property Manager.
Hotel Site means the real property on which the Hotel is located or to be located, as approved by us.
Developers Fee” means a bonus earned by developers that have successfully completed key events in the development process.
