• If a formula is provided by BCB on Schedule 4.32 of the BCB Disclosure Schedules on the date hereof, then the actual amounts payable to Named Individuals as a result of entering into this Agreement or otherwise completing the transactions contemplated hereby shall be updated by BCB and provided on the Closing Date.

• Whenever "to its knowledge," "known" "aware," "awareness," or a similar phrase is used with respect to any Seller to qualify a representation or warranty of such Seller, the "knowledge" or "awareness" so referred to shall be deemed to be the actual and conscious (and not constructive) knowledge of the Named Individuals.

• Payments for additional days worked to the Named Individual's agreed working week (if applicable to the booking) will only be permitted as agreed with the ▇▇▇▇▇▇/manager.

P.C., to the Purchaser in connection with this Agreement or in any statement, representation or warranty or other information contained in any offering memorandum, management presentation or any other document or material provided by the Sellers or their representatives or agents to the Purchaser or its Affiliates in connection with this Agreement.

Named Individuals has the meaning set forth in Section 8.12;

Named Individuals means the named individuals within the Authority that are tasked with reporting Service delivery issues, including Incidents to the Service Provider.
