NBA Entities definition

NBA Entities means the NBA, NBA Properties, Inc., NBA Media Ventures, LLC, NBA Development League Holdings, LLC (f/k/a NBDL Holdings, LLC), WNBA Holdings, LLC (f/k/a NBA Development, LLC), WNBA, LLC, WNBA Operations, LLC, WNBA Enterprises, LLC, Planet Insurance Ltd., any successor or Affiliate of any of the foregoing entities and any other Person in which a majority of the Members directly or indirectly hold Equity Interests.
NBA Entities means the NBA and its member teams (“Teams”), subsidiaries and affiliates, including, but not limited to, NBA Entertainment, Inc., Anschutz Entertainment Group, Inc., L.A. Sports Holding, LLC, L.A. Arena Company, LLC, L.A. Arena Funding, LLC, and L.A. Arena Land Company, LLC , each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Teams, and the owners, general and limited partners, shareholders, members, directors, managers, officers, employees and agents of the foregoing entities.

Examples of NBA Entities in a sentence

  • Entrants agree not to issue any publicity concerning the Sponsors or NBA Entities.

  • The NBA Entities have not offered or sponsored this Sweepstakes in any way.

  • Except where prohibited by law, in consideration for being awarded a prize, Prize Winner hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of Prize Winner’s name, voice, biographical material, and/or likeness, in all forms of media and by all manners (now and hereafter known), worldwide, in perpetuity, in any and all advertising, Sweepstakes and other publicity conducted by the Sponsors and the NBA Entities.

  • By accepting a prize, winner agrees that the Sponsors and the NBA Entities will have no liability and will be held harmless by the winner for any and all liabilities, losses, injuries, or damages to properties or to persons, including death, due in whole or in part, directly or indirectly, by reason of the acceptance, participation in, use or misuse of the prize or participation in the Sweepstakes, even if caused or contributed to by the negligence of any of the Sponsors or the NBA Entities.

  • The NBA Entities may impose additional requirements or standards on fans that are assigned Virtual Seats as circumstances warrant or that such NBA Entity deems appropriate.

  • None of the NBA Entities or other Release Parties (as such term is defined below) provides any representation or warranty of any kind as to the Microsoft Team platform or the Virtual Fan Experience (including any functionality or element).

  • Participant must login prior to the Event at a time communicated by any of the NBA Entities.

  • Sponsor and the NBA Entities reserve the right to remove or to deny entry to a winner and/or his or her guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person at the game/event/exhibition.

Related to NBA Entities

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Parent Entities means Parent and Merger Sub.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Target Companies has the meaning set forth in the recitals.

  • Seller Affiliates has the meaning ascribed thereto in Section 2.8.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Entities means event and competition organisers/promoters/managers, land and track owners/managers/administrators/lessees, CAMS affiliated clubs, state and territory governments and insured listed in CAMS’ public/product/professional indemnity insurance policies and each of their related bodies corporate (including their related bodies corporate) and each of their organs and agencies, officers/president/directors/executives, employees, servants, agents, partners, providers, members, competitors, drivers, co-drivers, navigators, officials, crew members, pit crew, delegates, licence holders, representatives, commissions, committees, advisers, trustees, councils, panels, shareholders, volunteers, officials, appointees, delegated bodies and sponsors.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Group Companies means, collectively, the Company and each of its Subsidiaries.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Acquired Subsidiaries means Subsidiaries of the Failed Bank acquired pursuant to Section 3.1.

  • Transferred Subsidiaries shall have the meaning set forth in the Recitals.

  • Sponsor Entities means (i) WHR Holdings, LLC, Esquisto Holdings, LLC, WHE AcqCo Holdings, LLC, WildHorse Investment Holdings, LLC, Esquisto Investment Holdings, LLC, NGP IX Holdings, L.P., NGP X US Holdings, L.P., NGP XI Holdings, L.P., and CP VI Eagle Holdings, L.P. and (ii) any of their respective Affiliates and any investment fund or other Person advised or managed by any Sponsor Entity, in each case, which owns or owned a direct or indirect interest in the Company; provided, however, that neither the Company nor any of its subsidiaries shall be considered Sponsor Entities hereunder.

  • Parent Parties means Parent and Merger Sub.

  • Bank Entities is defined in Section 12.9.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
