NCR Group Employee definition

NCR Group Employee has the meaning assigned to such term in the Employee Matters Agreement.
NCR Group Employee means each individual who is employed by NCR or any of its Subsidiaries or Affiliates as of the date on which NCR determines to transfer the employment of applicable individuals to ATMCo and who is not an ATMCo Group Employee (in each case regardless of whether any such employee is actively at work or is not actively at work as a result of disability or illness, an approved leave of absence (including military leave with reemployment rights under federal Law and leave under the FMLA), vacation, personal day or similar short- or long-term absence).

Examples of NCR Group Employee in a sentence

  • From and after the Distribution, no NCR Group Employee shall have any authority to access or control any ATMCo Account, except as provided for through the Transition Services Agreement.

  • To the extent that any NCR Group Employee participated in an ATMCo Group CBA immediately prior to the Distribution (or, if earlier, the applicable Internal Reorganization Date), if required by applicable Law (and solely to the extent required by applicable Law), the applicable member of the NCR Group shall, effective no later than immediately prior to the Distribution, assume such CBA only with respect to such covered NCR Group Employee.

  • The NCR Group shall retain all Liabilities with respect to vacation, banked vacation, holiday, sick time, other paid time off policies, leave of absence, and required payments related thereto, for each NCR Group Employee.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Term Employee means an employee hired for a specific term of employment. The term of employment may be based on a specific period of time or the completion of a specific job or until the occurrence of a specified event.

  • School employee means (1) a teacher, substitute teacher, school administrator, school superintendent, guidance counselor, psychologist, social worker, nurse, physician, school paraprofessional or coach employed by a local or regional board of education or working in a public elementary, middle or high school; or (2) any other individual who, in the performance of his or her duties, has regular contact with students and who provides services to or on behalf of students enrolled in a public elementary, middle or high school, pursuant to a contract with the local or regional board of education.

  • Public employee means an individual holding a position by appointment or employment in the government of this state, in the government of 1 or more of the political subdivisions of this state, in the public school service, in a public or special district, in the service of an authority, commission, or board, or in any other branch of the public service, subject to the following exceptions:

  • Service employee, means any person engaged in the performance of this contract other than any person employed in a bona fide executive, administrative, or professional capacity, as these terms are defined in Part 541 of Title 29, Code of Federal Regulations, as revised. It includes all such persons regardless of any contractual relationship that may be alleged to exist between a Contractor or subcontractor and such persons.

  • Retired employee means an employee of the state who retired after April 29, 1971,

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Tipped employee means any employee engaged in an occupation in which s/he customarily and regularly receives more than $30 per month in tips. Tips include amounts designated as a tip by credit card customers on their charge slips. Nothing in this rule prevents an employer from requiring employees to share or allocate such tips or gratuities on a pre-established basis among other employees who customarily and regularly receive tips. Employer-required sharing of tips with employees who do not customarily and regularly receive tips, such as management or food preparers, or deduction of credit card processing fees from tipped employees, shall nullify allowable tip credits towards the minimum wage.

  • Relevant Employee means the Previous Contractor Employees, the Previous Contractor Third Party Employees and Previous Contractor Sub-contractor Employees;

  • Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.

  • Regular Employee is one who is hired to work on a full-time or part-time basis on regularly scheduled shifts of a continuing nature;

  • Qualifying Employee means any employee of Managing Agent or Parent or any of their respective subsidiaries who is and has been an employee of Managing Agent or Parent or any of their respective subsidiaries for at least thirty-six (36) months.

  • Employee Participant means an Employee who holds an outstanding Award under the terms of the Plan.

  • Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • relevant employer means any company incorporated or registered under the Companies Act (Cap. 50) or any person registered under the Business Names Registration Act 2014;

  • Non-Key Employee means any Employee who is not a Key Employee.
