Net Revenue Retention Rate definition

Net Revenue Retention Rate is, for any Subject Quarter, expressed as a percentage, and calculated by dividing (a) retained revenue by (b) retention base revenue. For purposes of this definition, retention base revenue means subscription and returns revenue from all customers in the twelve-month period ending one-year prior to the end of such quarter, and retained revenue means subscription and returns revenue from that same group of customers for twelve-month period ending at the end of such quarter, in each case including the effects of both customer churn and upsell.
Net Revenue Retention Rate means as of the last day of a month, the ratio, expressed as a percentage, of (x) three times the Eligible Subscription Revenue as of the last day of the most recently completed month, to (y) the immediately prior trailing 3-month Eligible Subscription Revenue, tested monthly.
Net Revenue Retention Rate means, as of any date of determination with respect to the Obligor of any Recurring Revenue Loan, the meaning of “Net Recurring Revenue Retention Rate” or any comparable definition set forth in the Underlying Instrument for such Recurring Revenue Loan determined as of the most recent measurement date set forth in such Underlying Instrument that was immediately prior to the date that such Recurring Revenue Loan was acquired.

Net Revenue Retention Rate means, with respect to the principal Obligor of any Recurring Revenue Loan Asset as of each fiscal quarter, either (a) the meaning of “Net Revenue Retention Rate” or any comparable definition set forth in the Loan Agreement for such Recurring Revenue Loan Asset, or (b) in the case of any Recurring Revenue Loan Asset with respect to which the Loan Agreement does not include a definition of “Net Revenue Retention Rate” or comparable definition, the ratio of (a) the Net Revenue Retention as of the last day of such fiscal quarter to (b) the annual recurring revenue as of the beginning of the trailing-twelve month period ending on the last day of such fiscal quarter. Any Obligor considered not to have reported Net Revenue Retention in accordance with the definition thereof shall be deemed to have a Net Revenue Retention Rate of 50%.
Net Revenue Retention Rate is, for any Subject Quarter, expressed as a percentage, and calculated by dividing (a) total revenue as of the last day of the immediately preceding quarter from any billing accounts that generated revenue during the corresponding quarter of the prior year by (b) total revenue in such corresponding quarter from those same billing accounts.   • Annualized EBITDA means, for the four consecutive quarters ending on each Reporting Date, the Operating Partnership’s Pro Rata Share (as defined below) of earnings before interest, taxes, depreciation and amortization (“EBITDA”), with other adjustments as are necessary to exclude the effect of all realized or unrealized gains and losses related to hedging obligations, items classified as extraordinary items and impairment charges in accordance with generally accepted accounting principles, adjusted to reflect the assumption that (i) any EBITDA related to any assets acquired or placed in service since the first day of such four-quarter period had been earned, on an annualized basis, from the beginning of such period, and (ii) any assets disposed of during such four-quarter period had been disposed of as of the first day of such period and no EBITDA related to such assets had been earned during such period.

  • Monthly Debt Service Payment Amount means, for each Monthly Payment Date, an amount equal to the amount of interest which is then due on all the Components of the Loan in the aggregate for the Interest Period during which such Monthly Payment Date occurs.

  • Baseline Period means the period used to determine the baseline emission rate for each regulated pollutant under OAR 340 division 222.

  • Deferred Sales Charge Payment Dates means the dates specified for deferred sales fee installments under "Investment Summary--Fees and Expenses" in the Prospectus for the Trust.

  • Quarterly Excess Available Funds Percentage means, with respect to the March 2008 Transfer Date and each Transfer Date thereafter, the percentage equivalent of a fraction the numerator of which is the sum of the Excess Available Funds Percentages with respect to the immediately preceding three Monthly Periods and the denominator of which is three.

  • Group II Principal Remittance Amount With respect to any Distribution Date, the sum of the amounts described in clauses (i) through (iii) of the definition of Group II Principal Distribution Amount.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Principal Relocation Payment A payment from any Loan Group to REMIC 1 Regular Interests other than those of their corresponding Loan Group as provided in the Preliminary Statement.   • Retained Excess Cash Flow Amount means, at any date of determination, an amount, determined on a cumulative basis, that is equal to the aggregate cumulative sum of the Excess Cash Flow that is not required to be applied as a mandatory prepayment under Section 2.11(b)(i) for all Excess Cash Flow Periods ending after the Closing Date and prior to such date; provided that such amount shall not be less than zero for any Excess Cash Flow Period.

  • Principal Remittance Amount With respect to any Distribution Date, the sum of the Group I Principal Remittance Amount and the Group II Principal Remittance Amount.

  • HICP Daily Inflation Reference Index means (A) in relation to the first day of any given month, the HICP Monthly Reference Index of the third month preceding such month, and (B) in relation to a day (D) (other than the first day) in any given month (M), the linear interpolation of the HICP Monthly Reference Index pertaining respectively to the third month preceding such month (M - 3) and the second month preceding such month (M - 2) calculated in accordance with the following formula:
