New Research Program definition

New Research Program shall have the meaning given in the Research Agreement.
New Research Program means the Ophthalmology Research Program, the CVM Research Program, and the [***] Research Program.

Examples of New Research Program in a sentence

  • A suspension of a New Research Program or other activities related to the development or commercialization of a Licensed Product shall be deemed to be abandonment if Licensee does not have a good-faith intention to continue development and commercialization of such Licensed Product.

  • Following the New Research Program Inclusion Date, Licensee will provide Institute promptly with copies of all relevant documentation so that Institute will be informed of the continuing prosecution and may comment upon such documentation sufficiently in advance of any initial deadline for filing a response.

  • A Party may withhold its consent to inclusion of any New Research Program within the scope of the Research Collaboration at its sole discretion.

  • If the Parties mutually agree to progress any New Research Program, the Parties shall consult to prepare a formal development plan and budget for such New Research Program for review and approval by the JSC (subject to Atara’s final decision making right under Section 3.3(f)).

  • Following discussion through the JSC in accordance with Section 2.3, as of the First Restatement Date, the Parties agreed to include a research and development program directed to the identification and further development of New CTL Products Specifically Directed to such Targets expressed in association with human papilloma virus (“HPV”), in such Indications as the Parties may mutually agree in writing from time to time (the “HPV CTL Program”) as a New Research Program within the scope of this Agreement.

  • The Research Funding Cap applicable to each New Research Program Year or Years, as applicable, may only be increased by the mutual agreement of the Parties.

  • NGM covenants that it shall not use any Research Funding obtained from Merck to fund any internal or external costs (i) associated with its activities under any of the Existing Collaboration Agreements, (ii) to research or develop any Retained Compounds or Retained Targets, and/or (iii) associated with its activities related to any Non-Qualifying Compounds and Non-Qualifying Targets following the end of New Research Program Year 1.

  • These representatives shall have appropriate technical credentials, experience and knowledge, and ongoing familiarity with this Agreement and the New Research Program.

  • For the avoidance of doubt: (1) the license set forth in this Section 4.1.9(b)(ii) does not include any right to manufacture or sell products to Third Parties; and (2) Merck may not use the NGM intellectual property rights licensed under this Section 4.1.9(b)(ii) other than to perform the New Research Program during the New Research Program Term and to research, Develop and use Tail Compounds/Targets during the applicable Tail Period.

  • All payments made by Merck pursuant to Section 2 of this Letter Agreement to reimburse NGM for CMC Activity FTE Costs from the Lonza Cost Commencement Date until the end of New Research Program Year 3 shall count towards the Research Funding Cap for New Research Program Years 2 and 3 combined, even though such payments are not Research Funding and are not for NGM’s performance of the Ophthalmology Research Program.
