New Shares of Common Stock definition

New Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Section 9(b)(ii) below, deemed to be issued) by the Corporation after the Issue Date, other than the following shares of Common Stock, and shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (collectively “Exempted Securities”):
New Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Section 5(C)(ii) hereof, deemed to be issued) by the Corporation after the Original Issue Date.
New Shares of Common Stock means any shares of Common Stock issued, granted or sold by the Corporation on or after the Issue Date other than shares issued upon exercise of options, warrants or any other rights outstanding on such date or upon conversion of convertible securities outstanding on such date.

Examples of New Shares of Common Stock in a sentence

  • If the Corporation shall issue New Shares of Common Stock in the manner described in Section 5(C)(ii) above in a stock dividend, stock distribution or subdivision, the Series D Conversion Ratio and the Series E Conversion Ratio in effect immediately prior to such stock dividend, stock distribution or subdivision shall, concurrently with the effectiveness of such stock dividend, stock distribution or subdivision, be proportionately increased.

  • The maximum aggregate number of New Shares of Common Stock and LTIP Awards that may be issued under this Plan to any Participant is 5,000,000 shares or units, as applicable.

  • If the Corporation shall issue New Shares of Common Stock in the manner described in Section 5(B)(ii) above in a stock dividend, stock distribution or subdivision, the Series F Conversion Ratio in effect immediately prior to such stock dividend, stock distribution or subdivision shall, concurrently with the effectiveness of such stock dividend, stock distribution or subdivision, be proportionately increased.

New Shares of Common Stock has the meaning specified in Section 5.1.
New Shares of Common Stock means all shares of Common Stock issued by the Company or deemed to be issued pursuant to this Section 5, whether or not subsequently reacquired or retired by the Company, subsequent to the Closing Date and prior to the IPO Closing Date, other than (i) Common Stock issued pursuant to a transaction described in Section 5.4 hereof, (ii) 2,200,000 shares (as adjusted for any stock dividends, combinations, splits, recapitalizations and the like) of Common Stock, net of repurchases, issued or issuable to employees, directors, consultants or advisors under the Plans or pursuant to stock option or restricted stock purchase agreements approved by the Company's Board of Directors or the Compensation Committee thereof, (iii) shares of Common Stock issued pursuant to the exercise of warrants outstanding as of the Closing Date and described in Section 2.2 hereof, or (iv) shares issued pursuant to the IPO.

  • shares of Common Stock means (i) the class of stock designated as the Common Stock of the Company at the date of this Agreement, or (ii) any other class of stock resulting from successive changes or reclassifications of such shares consisting solely of changes in par value, or from par value to no par value, or from no par value to par value. In the event that at any time, as a result of an adjustment made pursuant to paragraph (a) above, the Warrant Holders shall become entitled to purchase any securities of the Company other than shares of Common Stock, thereafter the number of such other securities so purchasable upon exercise of each Warrant and the Exercise Price of such securities shall be subject to adjustment from time to time in a manner and on terms as nearly equivalent as practicable to the provisions with respect to the Warrant Shares contained in paragraphs (a) through (i), inclusive, above, and the provisions of Section 7 and Section 12.2 through 12.5, inclusive, with respect to the Warrant Shares, shall apply on like terms to any such other securities.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Additional Shares of Common means all shares of Common Stock issued (or, pursuant to Section 3(e)(iii), deemed to be issued) by the Corporation after the Original Issue Date, other than shares of Common Stock issued or issuable:

  • Common Shares means the common shares in the capital of the Corporation;

  • A Ordinary Shares means the ‘A’ ordinary shares of £1.00 each in the capital of the Company;

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Amalco Shares means the common shares in the capital of Amalco;

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Ordinary Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares or ADSs, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares or ADSs.

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • Capital Shares Equivalents means any securities, rights, or obligations that are convertible into or exchangeable for or give any right to subscribe for any Capital Shares of the Company or any warrants, options or other rights to subscribe for or purchase Capital Shares or any such convertible or exchangeable securities.

  • Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Holdings Common Stock means the common stock of Holdings, par value $.01 per share.

  • Common Share Equivalent shall have the meaning ascribed to it in Section 11(a)(iii) hereof.
