New Units definition

New Units has the meaning set forth in Section 4(a) of this Option.

Examples of New Units in a sentence

• The New Units are offered on the Terms and Conditions set out in this Statement and in the applicable provisions of the Trust Deed.

• The Manager shall make the necessary applications for the listing of the New Units to be issued and allotted under the Distribution Reinvestment Plan on the SGX-ST.

• The Manager will make a formal application to the SGX-ST for the listing of, dealing in, and quotation of, the New Units on the Main Board of the SGX-ST.

More Definitions of New Units

New Units means any Membership Interests authorized in any New Unit Designation.

New Units means the common units in Reorganized HoldCo to be authorized, issued, or reserved on the Effective Date pursuant to the Plan, in each case, prior to giving effect to the Merger.

New Units is defined in Section 7.8(a).

New Units means any (i) units of the Company, or (ii) any warrants, rights, calls, options or other securities exchangeable for or exercisable or convertible into units or any other security entitled to participate in the Company’s profits, in each case to be issued by the Company to a Vestar Holder.

New Units shall have the meaning specified in Section 5.01.

New Units means Units or classes or series thereof, or other equity securities of the Company which the Company proposes to offer, issue or Sell following the date of this Agreement (including any options, warrants or other rights obligating the Company to issue Units or other equity interests), provided, however, that the following shall be excluded from the definition of "New Units": (i) units or securities to be issued pursuant to any public offering by the Company registered with the Securities and Exchange Commission; (ii) units or securities to be issued pursuant to any incentive stock option or purchase plan or other plan or agreement of the Company for the benefit of its employees, directors or consultants, including any securities issuable pursuant to the exercise of any options, warrants or other rights issued pursuant to such plans or agreements; (iii) units or securities to be issued by the Company in connection with an acquisition (including, without limitation, by way of merger, consolidation or binding share exchange) by the Company of the Capital Stock of any corporation, partnership, company or other entity in a transaction pursuant to which all or part of the consideration payable in connection with such acquisition consists of securities of the Company; or (iv) securities to be issued in connection with a strategic transaction, joint venture or other business combination.
