Notwithstanding anything to the contrary contained in this 2024-B Servicing Supplement, NMAC (as Servicer or in any other capacity) shall be permitted to deposit into the 2024-B Series Collection Account only the net amount distributable to the Issuing Entity, as holder of the 2024-B Series Certificate on the related Deposit Date and may pay the Optional Purchase Price pursuant to Section 9.03 of the Trust Agreement net of amounts to be distributed to the Servicer or its Affiliates.

The Asset Representations Reviewer agrees that it will not, and will cause its Affiliates to not (i) purchase or sell securities issued by NMAC or its Affiliates or special purpose entities on the basis of Confidential Information or (ii) use the Confidential Information for the preparation of research reports, newsletters or other publications or similar communications.
In addition to the requirements set forth in Section 2.14 of the Titling Company Servicing Agreement, the Servicer shall immediately notify the Depositor (in the event that NMAC is not acting as Servicer) and the Indenture Trustee (or any successor to the duties of the Indenture Trustee) upon learning of a claim or Lien of whatever kind of a third party that would materially and adversely affect the interests of the Depositor or the Issuing Entity with respect to the 2024-B Series Assets.
