Only individuals qualified to act as directors of the Company under applicable law, except as to Canadian residency, shall be nominated to the Board by any Nominating Party or the Board.
If a Nominating Party does not satisfy Minimum Condition 1, it may nevertheless request and the Board shall consider, whether a nominee of such Nominating Party will be permitted to serve as a member of the Board.
