Nominating Party definition

Nominating Party has the meaning specified in Section 3.2(1)(b).

Nominating Party means any one of the investors named in Section 1(b) of the Stockholders Agreement entitled to nominate such number of persons as specified therein for election to the Board of Directors of the Corporation.

• If a Nominating Party (or the Board of Directors in the case of a director nominated under Section 1.1(b)(v)) notifies the Company that it desires to remove its nominee as a director and/or designate a successor nominee by means of stockholder vote, the Company shall, at the request of such Nominating Party or the Board of Directors, as applicable, use its reasonable best efforts to ensure that a meeting of stockholders of the Company is promptly called for such purpose.
