Noteholder Collateral Agent definition

Noteholder Collateral Agent has the meaning assigned to such term in the Intercreditor Agreement.

Noteholder Collateral Agent means U.S. Bank National Association, as Noteholder Collateral Agent, and any successor thereto in such capacity.

Noteholder Collateral Agent means the Trustee in its capacity as the collateral agent for the Holders of the Notes or any collateral agent appointed by the Trustee pursuant to this Indenture and the Collateral Agreements.

• Nothing herein contained shall be deemed to authorize the Trustee to authorize or consent to or accept or adopt on behalf of any Holder any plan of reorganization, arrangement, adjustment or composition affecting the Notes or the rights of any Holder, or to authorize the Trustee or the Noteholder Collateral Agent, as the case may be, to vote in respect of the claim of any Holder in any such proceeding.

• All agreements of the Trustee and the Noteholder Collateral Agent in this Indenture will bind its successors.

• The terms and provisions contained in the Notes will constitute, and are hereby expressly made, a part of this Indenture and the Company, the Guarantors, the Trustee and the Noteholder Collateral Agent, by their execution and delivery of this Indenture, expressly agree to such terms and provisions and to be bound thereby.

• Notwithstanding the preceding sentence, all purchasers and grantees of any property or rights purporting to be released herefrom shall be entitled to rely upon any release executed by the Noteholder Collateral Agent hereunder as sufficient for the purpose of this Indenture and as constituting a good and valid release of the property therein described from the Lien of this Indenture or of the Collateral Agreements.

• Such legal opinion shall be in form and substance reasonably satisfactory to the Noteholder Collateral Agent.

More Definitions of Noteholder Collateral Agent

Noteholder Collateral Agent means such successor noteholder collateral agent, and the retiring Noteholder Collateral Agent’s appointment, powers and duties as the Noteholder Collateral Agent shall be terminated. After the retiring Noteholder Collateral Agent’s resignation hereunder, the provisions of this Section 12.10 (and Section 12.11) shall continue to inure to its benefit and the retiring Noteholder Collateral Agent shall not by reason of such resignation be deemed to be released from liability as to any actions taken or omitted to be taken by it while it was the Noteholder Collateral Agent under this Indenture.

Noteholder Collateral Agent means Xxxxx Fargo Bank, N.A., in its capacity as collateral agent under the Senior Secured Indenture and the Senior Notes Collateral Agreement, and its successors and assigns in such capacity.

Noteholder Collateral Agent means the Original Noteholder Collateral Agent, together with its successors, assigns and transferees, and any Person exercising substantially the same rights and powers under the Indenture or any other Indenture Document, or if there is no acting collateral agent under the Indenture or any other Indenture Document, the Noteholders holding a majority in principal amount of Notes Obligations then outstanding.

Noteholder Collateral Agent means Wilmington Trust FSB, in its capacity as noteholder collateral agent under the Noteholder Security Documents, and its successors in such capacity.

Noteholder Collateral Agent means U.S. Bank, National Association, and any successor or replacement agent or any sub-agent under the Black Canyon Documents.
