Notes Finance Documents definition

Notes Finance Documents means each of the Senior Notes 1 Finance Documents, Senior Notes 2 Finance Documents and Super Senior Notes Finance Documents.

Notes Finance Documents means the "Finance Documents" as defined in the Note Purchase Agreement.

Notes Finance Documents means the Notes, any Notes Indenture, any of the Notes Guarantees, any Notes Pledge Agreements and any other security or guarantees for the Notes and any registration rights agreement for the Notes.

Examples of Notes Finance Documents in a sentence

• If any Second Lien Notes Finance Documents are registered under the Securities Act of 1933 of the United States of America or required to be qualified under the Trust Indenture Act of 1939 of the United States of America, those Second Lien Notes Finance Documents comply with that Trust Indenture Act having regard to, and in a manner consistent with, this Agreement.

• No provision of this Agreement shall alter or otherwise affect the rights and obligations of any Debtor to make payments in respect of the Liabilities it owes to any Notes Trustee as and when the same are due and payable and demand, receipt and retention by any Notes Trustee of the same or taking of any step or action by any Notes Trustee in respect of its rights under the Notes Finance Documents to the same.

• With respect to the Creditors, each Notes Trustee undertakes to perform or to observe only such of its covenants or obligations as are specifically set forth in the Notes Finance Documents pursuant to which it acts as trustee and this Agreement and no implied agreement, covenants or obligations with respect to the other Creditors shall be read into this Agreement against the Notes Trustee.

• No Debtor shall enter into any Second Lien Finance Documents or incur any Second Lien Liabilities unless such Second Lien Finance Documents (and the incurrence of any financial indebtedness thereunder) are permitted by this Agreement, the Senior Facilities Agreement, any Senior Secured Notes Finance Documents, any Pari Passu Debt Documents and any other Second Lien Finance Documents then outstanding.

• With respect to the Creditors, each Notes Trustee undertakes to perform or to observe only such of its covenants or obligations as are specifically set forth in the Notes Finance Documents pursuant to which it acts as trustee and this Agreement and no implied agreement, covenants or obligations with respect to the other Creditors shall be read into this Agreement against any Notes Trustee.

• The terms and conditions for any voluntary prepayment or purchase of the New Secured Notes shall be governed by the New Secured Notes Finance Documents.

• In addition, 7 of the 15 countries had a labour force survey, 10 of which had a health-related data source.

• Subject to the terms and conditions of the Pledge Permit, the Senior Secured Notes Finance Parties and the Senior Secured Noteholders may amend or waive the terms of the Senior Secured Notes Finance Documents in accordance with the terms of the Senior Secured Notes Finance Documents (and subject to any Consent required under them) at any time.

More Definitions of Notes Finance Documents

Notes Finance Documents means the Notes, the Amended and Restated Note Purchase Agreement, the Parent Guarantee (as defined in the Amended and Restated Note Purchase Agreement), the Subsidiary Guarantees (as defined in the Amended and Restated Note Purchase Agreement) and the Security Documents to the extent that they secure the obligations owing to the Noteholders under the Note Finance Documents;

Notes Finance Documents means the Second Lien Notes Finance Documents, the Unsecured Senior Notes Finance Documents and the High Yield Notes Finance Documents.

Notes Finance Documents means, as applicable, (a) the Pari Passu Debt Documents in respect of Pari Passu Debt in the form of notes or debt securities; (b) the Second Lien Debt Documents in respect of Second Lien Debt in the form of notes or debt securities; and (c) the Additional Unsecured Debt Documents in respect of Additional Unsecured Debt in the form of notes or debt securities.

Notes Finance Documents means: (a)in respect of the Senior Secured Notes, the Senior Secured Notes Finance Documents; (b)in respect of the Second Lien Notes, the Second Lien Notes Finance Documents;(c)in respect of the High Yield Notes, the High Yield Notes Finance Documents; and (d)in respect of the Unsecured Notes, the Unsecured Notes Finance Documents.
