Notice of Funding definition

Notice of Funding means a notice in the form of Exhibit E hereto.

Notice of Funding means a notice from Agent to Lenders, to be made and confirmed in writing, specifying therein the information as may be reasonably required by Lenders with respect to any Advance under this Agreement.

Notice of Funding means, for the Funding Date, a notice from the Borrower in substantially the form of Exhibit B-1, duly completed pursuant to Section 2.02(a) hereto.

• IV, a Delaware corporation (the "Pooling and Servicing Agreement"), the undersigned hereby gives notice of a Funding Date to occur on ____________, 19 for each of the Receivables listed on Schedule I to the Assignment executed by the undersigned and accompanying this Notice of Funding.

More Definitions of Notice of Funding

Notice of Funding has the meaning set forth in Section 3.08(b)(ii)(C). "Obligor" means, with respect to a Receivable, the purchaser or co-purchasers of the Financed Vehicle and/or any other Person who owes payments under such Receivable.

Notice of Funding shall have the meaning provided in Section 2.2(b).

Notice of Funding means a written notice, in substantially the ----------------- form of Exhibit E, delivered by the Transferor to the Agent pursuant to Section --------- -------- 2.02(a). ------- "Obligations" means all present and future indebtedness and other ----------- liabilities and obligations of the Transferor to the Transferees (including any Transferee in its capacity as a counterparty under an Interest Rate Hedge) and/or any other Affected Party, arising under or in connection with this Agreement and the other Facility Documents, and shall include, without limitation, all liability for principal of the Advances, Interest, fees, expense reimbursements, indemnifications, and other amounts due or to become due from the Transferor to the Transferees (including any Transferee in its capacity as a counterparty under an Interest Rate Hedge) and/or any other Affected Party under this Agreement and under the Interest Rate Xxxxxx.

Notice of Funding means the notice and related Cost Certificate, in substantially the form of Exhibit I hereto, duly executed and delivered by the Borrower's Financial Representative to the Intercreditor Agent pursuant to Section 4.02(a) of this Common Agreement, the Facility Administrative Agent and the Independent Engineer pursuant to Section 2.04(b) of the Credit Agreement and, if applicable, the Note Trustee pursuant to Section 2.02 of the Common Agreement and Section 4.1(c) or 4.2, as applicable, of the Noteholder Depositary Agreement in connection with each Funding. Each Notice of Funding shall specify the amount of the requested Borrowing and Note Proceeds Withdrawal constituting the requested Funding.
