Notice of Intent to Exercise shall have the meaning accorded thereto in Section 4.1 of this Agreement. The form of Notice of Intent to Exercise is attached as Annex I to each Warrant.

Notice of Intent to Exercise means a written notice from or on behalf of Second Lien Agent to First Lien Agent and First Lien Co-Agent (a) stating that Second Lien Agent intends to Exercise Secured Creditor Remedies, (b) stating that it is a "Notice of Intent to Exercise Secured Creditor Remedies" and (c) describing the Event(s) of Default under the Second Lien Credit Agreement that is(are) the basis for delivering such notice.

  • At such time of the receipt of the Notice of Intent to Exercise Form, the Warrant Agent at the Warrant Agency shall inform the Corporation of the Warrantholder’s intent to exercise.
