Notice of Offering definition

Notice of Offering means a written notice with respect to (a) a proposed Shelf Demand Registration, (b) a proposed Demand Registration, or (c) a Company Public Sale Event, in each case setting forth (i) the expected maximum and minimum number of shares of Registrable Common or Common Stock, as the case may be, proposed to be offered and sold, (ii) the lead managing underwriter, if applicable or selected and (iii) the proposed method of distribution and the expected timing of the offering.
Notice of Offering means a notice (including an electronic notice) prepared by the Principal Dealer to offerees of Securities providing (i) that the Issuer/Guarantor’s Offering Documentation is or will be available on a specified publicly accessible Internet Website, (ii) that the Issuer/Guarantor’s documents incorporated by reference in its Offering Documentation are available on a specified publicly accessible Internet Website, (iii) an explanation on how to access the Offering Documentation and the documents incorporated by reference from the Internet Website, (iv) that the offeree has the right to request a printed copy of the Offering Documentation and (v) an explanation of the procedure for requesting a printed copy of the Offering Documentation.
Notice of Offering means a notice given to the Trustee or the Bondholders and, if required by the Indenture, the Luxembourg Stock Exchange, that a Complying Public Equity Offering or a Non-Complying Public Equity Offering has occurred.

  • Subject to the last sentence of this subsection 6.1, during the term of this Agreement, no priority of right shall exist between or among Securities Holders or between any Securities Holder, on the one hand, and the Company, on the other, with respect to providing a Notice of Offering with respect to, and effecting, a Public Sale Event.

Notice of Offering means that notice of offering to be distributed by Parent promptly following the execution of this Agreement pursuant to which Common Shareholders who are accredited investors (as such term is defined under Regulation D under the Securities Act) will be offered the opportunity to exchange their Common Shares for Parent Class A Common Stock in accordance with the Contribution Agreement.

For the avoidance of doubt, if ***** is a limited liability company, then “equity securities” means limited liability company interests in *****.

  • Registration Request has the meaning set forth in Section 2.01(a).

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).

  • General Notice means any notice given in accordance with this Agreement other than a Transfer Notice;

  • Second Notice means notice to the Class in a form to be approved by the Court, which shall substantially be in accordance with the notice at Schedule “E”.

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Offeror’s Notice means the notice described in Section 12.3.

  • Demand Notice has the meaning set forth in Section 2(a)(i).

  • Subsequent Offering means any further issuance of Interests in any Series, excluding any Initial Offering or Transfer.

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;

  • Sales Notice shall have the meaning ascribed to such term in Section 2(b)(i).
