  • The Quest Members shall have an opportunity to cure such Defect, insofar as (i) such Quest Members notify the Class A Member in writing of such election to cure within fifteen (15) days following the date of the Defect Notice ("Defect Notice Response Date"), (ii) such Quest Members cure the Defect to the Class A Member's satisfaction within one hundred twenty (120) days following the date of the Defect Notice and (iii) the Quest Members do not utilize any funds or resources of the Company to cure the same.
