Litigation support contractor means a contractor (including its experts, technical consultants, subcontractors, and suppliers) providing litigation support under a contract that contains the clause at 252.204-7014, Limitations on the Use or Disclosure of Information by Litigation Support Contractors.
Litigation support means administrative, technical, or professional services provided in support of the Government during or in anticipation of litigation.
Transaction Support Agreement means that certain Transaction Support Agreement, together with all exhibits, annexes, and schedules thereto, dated as of March 15, 2019, and as amended on April 10, 2019, by and among NMG, Inc. and its subsidiaries, the Consenting Sponsors, an ad hoc committee of holders of 2013 Term Loans, an ad hoc committee of holders of Cash Pay Notes and PIK Toggle Notes, and each of the additional parties who delivered a joinder thereto.
Convention support order means a support order of a tribunal of a foreign country described in section 102(e)(iv).
Application Supported by Blocked Amount means an application, whether physical or electronic, by a Bidder (other than Anchor Investors) to make a Bid and authorising the relevant SCSB to block the Bid Amount in the relevant ASBA Account and will include amounts blocked by SCSBs upon acceptance of UPI Mandate Request made by the UPI Bidders;
Fault means a default, breach, or wrongful act or omission.
construction supervisor means a competent person responsible for supervising construction activities on a construction site;
Suppliers means any person or entity, including affiliates of the Company, who locates, purchases, sells, stores and/or transports natural gas or its equivalent for or on behalf of the Company. Suppliers may include, but not be limited to, interstate pipeline transmission companies, producers, brokers, marketers, associations, intrastate pipeline transmission companies, joint ventures, providers of LNG, LPG, SNG, and other hydrocarbons used as feed-stock, other distribution companies and end-users.
Warranties - means collectively any and all warranties (if any) given by the Bidder in terms of this agreement.
Information Provider means the person or organisation providing the Information under this licence.
Acquisition Sub shall have the meaning set forth in the Preamble.
Third-party logistics provider means a person that provides or coordinates warehousing of or other logistics services for a drug or device in interstate commerce on behalf of a manufacturer, wholesale distributor, or dispenser of the drug or device but does not take ownership of the product or have responsibility for directing the sale or disposition of the product.
Company Representations means the representations and warranties of the Company expressly and specifically set forth in Article IV of this Agreement, as qualified by the Schedules. For the avoidance of doubt, the Company Representations are solely made by the Company.
Termination Sum means the percentage of the Tariff payable by the Client to the Service Provider pursuant to Clause 18.4 and as set out in Appendix B; and
Party/Parties means Buyer and Seller individually/collectively.
Top Suppliers has the meaning set forth in Section 3.23(b).
Vendors means the proposer(s) responding to this RFP and vendor(s) to whom a contract has been awarded as a result of this RFP by SMSD. A responsible vendor is a vendor who has adequate financial resources (or the ability to obtain such resources), can comply with the delivery requirements, and is a qualified and established firm regularly engaged in the type of business that provides the product(s) /service(s) listed herein.
MIS means a computerized management information system for recording and maintenance of information regarding purchases, sales, aging, categorization, and locations of Properties, creation and aging of receivables, and accounts payable (including agings thereof).
BRRD Liability means a liability in respect of which the relevant Write Down and Conversion Powers in the applicable Bail-in Legislation may be exercised;
Authorised Persons means collectively all Event management, Venue management, Police, public bodies and agencies responsible for safety and security in connection with the Event or the Venue, and their respective staff, officials, representatives, officers and volunteers;
Representations and Warranties means the representations and warranties mentioned in Clause 4 hereto;
Representations means the written Representations and Warranties provided by Borrower to Silicon referred to in the Schedule.
Contractor Related Parties means any affliates of the Contractor and the Contractor's executive officers, Pennsylvania officers and directors, or owners of 5 percent or more interest in the Contractor.
Contracting means engaging in business as a contractor.
Intentional Wrongdoing means an act or omission taken or omitted by a Party with knowledge or intent that injury or damage could reasonably be expected to result.
Parent Related Parties shall have the meaning set forth in Section 8.3(c).
