In connection with the foregoing, (i) the foregoing is intended to effect an assumption of the Old Stock Options by Parent under Section 424(a) of the Code and (ii) neither a Parent Stock Option nor the assumption of Old Stock Option shall give the holder of an Old Stock Option additional benefits which he did not have under such an Old Stock Option within the meaning of Section 424(a)(1) of the Code.
To the extent that amounts are so withheld by Parent, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to the holder of Company Common Stock and Old Stock Options in respect of which such deduction and withholding was made by Parent.

You also agree that, if you ever challenge the validity of this Agreement and the First and Second Release or if you breach the terms of this Agreement and First and Second Release, you will repay the Severance Payment to the Company and an amount equal to any gain received as a result of the RSU Distributions, the PSU Distributions and any gain recognized on the exercise of any of the Old Stock Options, the 2012 Performance Options and the 2013 Performance Options to the Company.
The only securities issued and outstanding in Pubco are 1,986,521 common shares and incentive stock options to purchase up to 115,000 common shares at $0.19 each on or before November 26, 2007 (the "Old Stock Options").
