Examples of Omitted Service in a sentence

• Notwithstanding the foregoing, the time period for any such Omitted Service will expire not later than the expiration of the Term as calculated prior to the addition of such Omitted Service unless the Parties mutually agree otherwise.

• A Service Provider’s obligations with respect to providing any such Omitted Service shall become effective only upon mutual agreement of the Parties as reflected in such Transition Service Schedule.

• In the case of any ambiguity between the terms and condition of the main body of this Agreement and a Schedule to this Agreement, or with respect to an Omitted Service or an Additional Service, the terms and conditions of the main body of this Agreement shall control.

• If MCK has not notified NewCo of the discontinuation of a service that it provides for all of its other businesses, and such discontinuation would disproportionately affect the Core MTS Business as operated prior to the Closing compared to MCK’s other businesses, subsection (c) of this Section 1.3 will not be a basis for not providing such Omitted Service under this Agreement.

Omitted Service has the meaning given to it in clause 16.7.3;

Omitted Service means a service that is not included in Schedule 1 or is not a Transferred Service which (i) was provided by the Seller or a Seller Affiliate to the Business in the 12 month period prior to the date of the Purchase Agreement, and (ii) is necessary to enable the Buyer to conduct the Business in the manner in which it was conducted by the Seller and Seller Affiliates during that 12 month period, and (iii) is a service, or a substantially similar service, that the Buyer cannot readily provide or obtain in a reasonably timely manner on commercially reasonable terms and (iv) the Seller or a Seller Affiliate is able to provide from its own resources;
