If and when, from time to time during the term of this Agreement, the Parties find that refinements or adjustments regarding details of performance are necessary or appropriate, they may effectuate such refinements or adjustments through a memorandum (individually, an "Operating Memorandum", and collectively, "Operating Memoranda") approved by the Parties which, after execution, shall be attached to this Agreement as addenda and become a part hereof.
In the event a provision of any Operating Memorandum conflicts with this Agreement, the Agreement shall control.
Any such Operating Memorandum shall be automatically deemed a part of this Agreement, but approval, implementation and/or amendment thereof shall not constitute or require an amendment to the Agreement or require public notice or hearing.
This Agreement embodies the entire agreement and understanding between the parties and supersedes all prior agreements and understandings relating to the subject matter hereof, provided that the parties may embody in one or more separate documents (including in the Operating Memorandum) their agreement, if any, with respect to delegated duties.
Any revision to this Agreement which is determined not to qualify for an Operating Memorandum as set forth in Section 9.1.2 shall be deemed an “Agreement Amendment” and shall require giving of notice and a public hearing before the Planning Commission and City Council in accordance with Applicable Law.
