Operator Indemnitee definition

Operator Indemnitee is defined in Section 6.1.

Operator Indemnitee shall have the meaning set forth in Section 22.1.

Operator Indemnitee means any of the Operator, its Affiliates, or their respective directors, officers, and employees. Operator Indemnitees means all of them.

Examples of Operator Indemnitee in a sentence

• Delta will do all things necessary to cause and assure, and will cause and assure, that Delta will at all times be and remain in custody and control of any aircraft, equipment and facilities of Delta used in connection with performance of this Agreement, and no Operator Indemnitee shall, for any reason, be deemed to be in the custody or control, or a bailee, of such Delta aircraft, equipment or facilities.

• If any one or more of (i) Tower Operator, any Tower Operator Indemnitee, any Tower Subtenant, any Tower Subtenant Group Member, any third party or any Force Majeure Event or (ii) Tower Operator Equipment, Tower Operator Improvements, Tower Subtenant Communications Equipment or Tower Subtenant Improvements are determined to be the cause or source of an Emergency, then Tower Operator shall be responsible and shall reimburse the Verizon Group Members for all costs and expenses related to such Emergency.

• T-Mobile Parent hereby agrees that the validity of this guaranty and the obligations of T-Mobile Parent hereunder shall not be terminated, affected, diminished or impaired by reason of the assertion or the failure to assert by any Tower Operator Indemnitee against any T-Mobile Lessor any of the rights or remedies reserved to such Tower Operator Indemnitee pursuant to the provisions of this Agreement or any other remedy or right which such Tower Operator Indemnitee may have at law or in equity or otherwise.

• Except as provided in Section 10.2.4, but otherwise notwithstanding anything herein to the contrary, Operator shall be responsible for, shall pay on a current basis and hereby releases, defends, indemnifies and holds harmless the Owner Indemnitees from and against all Liabilities and Claims to the extent arising out of or in connection with or attributable or incidental to the gross negligence or willful misconduct of any Operator Indemnitee.

• If any one or more of (i) Tower Operator, any Tower Operator Indemnitee, any Tower Tenant, any Tower Tenant Group Member, any third party or any Force Majeure Event or (ii) Tower Operator Equipment, Tower Operator Improvements, Tower Tenant Communications Equipment or Tower Tenant Improvements are determined to be the cause or source of an Emergency, then Tower Operator shall be responsible and shall reimburse the Verizon Group Members for all costs and expenses related to such Emergency.

• Notwithstanding any limitations set forth in Article 12(D), Delta agrees to indemnify each Operator Indemnitee for any Loss attributable to Operator’s violation of Delta’s collective bargaining agreement with its pilots if such violation is attributable to a request by Delta.

• Each Party and each Owner or Operator Indemnitee shall have the right, but not the obligation, to assume and control the defense of, and to contest, and litigate any claim, action, suit or proceeding by any third party alleged or asserted against it arising out of any matter in respect of which it is entitled to be indemnified hereunder and the reasonable costs and expenses thereof (including reasonable attorneys' fees and expert witness fees) shall be subject to the said indemnity.

• Delta will do all things necessary to cause and assure, and will cause and assure, that Delta will at all times be and remain in custody and control of any aircraft, equipment and facilities of Delta, and no Operator Indemnitee shall, for any reason, be deemed to be in the custody or control, or a bailee, of Delta's aircraft, equipment or facilities.

• In the event it is determined by a finder of fact of competent jurisdiction that any Claim for which Terminal Operator seeks indemnity pursuant to this Section 10 is caused in whole or in part by the concurrent negligence, gross negligence or intentional misconduct of any Terminal Operator Indemnitee, then the obligation of Customer to indemnify Terminal Operator under this Section 9 shall be reduced by the comparative fault apportioned to such Terminal Operator Indemnitee by the finder of fact.

• Tower Operator Indemnitee pursuant to the provisions of this Agreement, the carrier will generally not accept any restrictions in the assignment or sublet provision.

Operator Indemnitee means each of Operator and its respective Representatives, who is entitled to indemnification by Owners in accordance with Section 8.01.
