• City shall indemnify, defend, and hold harmless the Operator Indemnitees from and against all Claims arising out of, relating to, or resulting from acts or omissions by City or Persons Connected with City arising out of, relating to, or resulting from the City's obligations with respect to Management, Use or Operation of the DPAC or the DPAC Plaza.

• In performing its duties under this Section 6.2.3, City shall defend Operator Indemnitees with legal counsel reasonably acceptable to Operator.

• Operator shall give City prompt notice of all Claims for which indemnification is sought by Operator Indemnitees pursuant to section 6.2.3, and Operator shall give City full and complete cooperation in the defense or settlement of all such Claims.

• Without limiting the preceding sentence, and as an additional obligation of City, it is agreed that City shall indemnify, defend, and hold harmless the Operator Indemnitees from and against all Claims made by independent contractors, including subcontractors of all tiers, where the independent contractor was engaged by City to perform work on or in the DPAC, except to the extent the Claim is the result of a negligent or wrongful act or omission by Operator.

• Operator Indemnitees" are defined as Operator, its members, directors, officers, employees, agents, Volunteers, and independent contractors, but excluding City.

• Nothing in this Section 6.2 shall require City to indemnify or hold harmless Operator Indemnitees against liability for damages arising out of bodily injury to persons or damage to property proximately caused by or resulting from the negligence, in whole or in part, of Operator Indemnitees.

• Tower Operator shall (or shall require the Tower Operator Indemnitees or Tower Subtenant Related Parties to) pay, or cause to be paid, all fees and Taxes required by Law in connection with the Tower Operator Work.

More Definitions of Operator Indemnitees

Operator Indemnitees means the Operator, its Affiliates, officers, directors, employees, agents, servants, and other representatives of each of them.

Operator Indemnitees shall have the meaning set forth in Section 13.2 hereof. Operator Personnel shall mean all employees of POPI involved in the performance of the Work or, in the event that during the term of this Agreement POPI ceases to provide personnel for performance of the Work, then such personnel who perform the functions that were previously performed by the employees of POPI. Operator Personnel Overhead shall have the meaning set forth in Section 5.2 hereof. OSHA shall mean the Occupational Safety and Health Administration. Overhead Percentage Rate shall have the meaning set forth in Section 5.2 hereof. Owner shall have the meaning set forth in the preamble of this Agreement.
