Option Ratio definition

Option Ratio has the meaning sent forth in Section 3.4(a).
Option Ratio means the quotient determined by dividing (a) the average of the daily closing prices per share of TWDC Common Stock on the NYSE, as reported in The Wall Street Journal, for the 10 consecutive trading days immediately preceding the Closing Date by (b) the average of the daily closing prices per share of Company Common Stock on the NYSE, as reported in The Wall Street Journal, for the 10 consecutive trading days immediately following the Closing Date.
Option Ratio means the Offer Price divided by the average closing price per share of Parent Common Stock on the New York Stock Exchange for the five consecutive trading days ending immediately prior to the date of this Agreement.

Examples of Option Ratio in a sentence

  • The per-share exercise price of such Adjusted Option shall equal the per-share exercise price of the original Crane Option as of the Close of the Distribution Date divided by the Option Ratio.

Option Ratio means the amount obtained by dividing the Crane Stock Value by the average of the high and low sales prices of the Crane Common Stock on the first trading day after the Distribution Date.

Option Ratio means (i) for calendar year 2002, one (1) share of Common Stock to be issued upon exercise of an Option divided by One Dollar ($1.00) of Accrued Quarterly Meeting Fees, and (ii) for calendar years after 2002, such number of shares of Common Stock per One Dollar ($1.00) of Accrued Quarterly Meeting Fees, if any, as the Board may authorize for such calendar year; provided, however, that the Option Ratio under this Plan for a calendar year shall be the same as the option ratio offered to the Company’s senior management employees for such calendar year.
