Original Units definition

Original Units has the meaning set forth in the recitals to this Agreement.
Original Units means the Class A Units, the Class C Units and the Class D Units (each as defined on Exhibit A to the Original LLC Agreement) of the Company.
Original Units means, collectively, (a) all of the issued and outstanding Class A Units of the Company (the “Original Class A Units”), (b) all of the issued and outstanding Class A-1 Units of the Company (the “Original Class A-1 Units”) and (c) all of the issued and outstanding Class B Units of the Company, in each case, as defined in the Prior LLC Agreement.

Examples of Original Units in a sentence

  • The ACS Manager may adjust the number of New Units to be issued to reflect the application of any charge on Switching together with any other charges or levies in respect of the application for the New Units or redemption of the Original Units as may be permitted pursuant to the COLL Sourcebook.

  • The number of New Units issued will be determined by reference to the respective prices of New Units and Original Units at the Valuation Point applicable at the time the Original Units are redeemed and the New Units are issued.

  • Such request must specify the number of Original Units to be exchanged.

  • You will generally be entitled to switch some or all of your Units (the "Original Units") for Units of a different Sub-Fund or Units of a different Class, subject to payment of any switching charge.

  • Any such charge on Switching does not constitute a separate charge payable by a Unitholder but is rather the application of any redemption charge on the Original Units and any initial charge on the New Units, subject to certain waivers.


More Definitions of Original Units

Original Units means the Class A Units and Class B Units of the Company outstanding immediately prior to the effectiveness of this Agreement.
Original Units means all of the issued and outstanding Preferred Units and Common Units (each as defined in the Prior Agreement) and Converted Class P Units immediately prior to the Effective Time.
Original Units means the (i) Class A Common Units of the Company as of immediately prior to the Recapitalization, (ii) Class A-1 Common Units of the Company as of immediately prior to the Recapitalization, and (iii) Class B Common Units as of immediately prior to the Recapitalization.
Original Units means, collectively, (a) all of the issued and outstanding Class A Common Units of the Company, (b) all of the issued and outstanding Class B Common Units of the Company, (c) all of the Incentive Units of the Company and (d) the Series A Preferred Units of the Company held by Grand Opal Investment Holdings, Inc., in each case, as defined in the Initial LLC Agreement.
Original Units means the Series A Preferred Units and the Series B Preferred Units (each as defined in Section 2.10(b) of the Prior LLC Agreement) of the Company and the Common Units and Incentive Units (each as defined in Section 2.10(a) of the Prior LLC Agreement) of the Company.
