Ownership Records definition

Ownership Records means the records maintained by the Manager, substantially in the form of Exhibit D, indicating from time to time the name, mailing address, and Percentage Share of each Beneficial Owner, which records shall initially indicate the Depositor as the sole Beneficial Owner and shall be revised by the Manager contemporaneously to reflect the issuance of Beneficial Interests in accordance with this Trust Agreement, changes in mailing addresses, or other changes.
Ownership Records has the meaning set forth in ‎Section 3.3(b).
Ownership Records means the records maintained by Manager, indicating from time to time the name, mailing address of each Beneficial Owner, and the percentage of the aggregate Beneficial Interest in the Trust held by each such Beneficial Owner (the “Percentage Share”), which records shall initially indicate Depositor as the sole Beneficial Owner and shall be revised by Manager contemporaneously to reflect any issuance of additional Beneficial Interests and Beneficial Ownership Certificates in accordance with this Trust Agreement, changes in mailing addresses, or other changes. It is the intention of the parties that the Trust constitute a “statutory trust,” Trustee is a “trustee,” Manager is an “agent” of the Trust, Beneficial Owners are “beneficial owners,” and this Trust Agreement is the “governing instrument” of the Trust, each within the respective meaning provided in the Statutory Trust Act. The business and affairs of the Trust shall be managed and administered by Manager. Whenever this Trust Agreement provides for an action to be taken by the Trust, such action shall be taken on behalf of the Trust by Manager, except to the extent that Manager shall direct any other Person to take such action.

Examples of Ownership Records in a sentence

  • Manager shall keep Ownership Records, which shall include records of the transfer and exchange of Beneficial Interests.

  • For all purposes of this Trust Agreement, Trustee shall be fully protected in relying upon the most recent Ownership Records delivered to it by Manager.

  • Trustee hereby declares that it shall hold the Trust Estate in trust, upon the terms set forth in this Trust Agreement, for the benefit of each Person (each such Person, a “Beneficial Owner”) who, at the time of determination, holds a beneficial interest in the Trust, as such term is used in the Statutory Trust Act (a “Beneficial Interest”) as reflected on the most recent Ownership Records.

  • Manager shall provide to Trustee a copy of the Ownership Records contemporaneously with each revision thereto.

  • Notwithstanding any provision of this Trust Agreement to the contrary, transfer of a Beneficial Interest, or of any right, title or interest therein, shall occur only upon and by virtue of the entry of such transfer in the Ownership Records.

  • For the avoidance of doubt, each Beneficial Owner’s Percentage Share and contributions will be tracked in the Ownership Records.

  • Notices shall be provided to the parties at the addresses specified on the first page of this Trust Agreement; provided, however, if such notice is to a Beneficial Owner, it shall be provided at such Person’s address as specified in the most recent Ownership Records.

  • Notwithstanding any provision of this Trust Agreement to the contrary, transfer of a Beneficial Interest in the Trust, or of any right, title or interest therein, shall occur only upon and by virtue of the entry of such transfer in the Ownership Records.

  • Ownership Records are apartment and increase as excel the sting set goes above.

  • Ownership Records received by gift or bequest to the University of the Highlands and Islands Archive become the legal property and responsibility of the University Archive from the point of transfer.

Related to Ownership Records

  • Transferred Books and Records means all books, ledgers, files, reports, plans, records, manuals and other materials (in any form or medium) to the extent of, or maintained predominantly for, the Business by the Seller’s Group (other than emails), including (without limitation) all books, records and other materials relating to the research, development and pre-clinical trials for each of the Products and the Product Expansions but excluding:

  • Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.

  • Computer Records means the computer records generated by the Servicer that provide information relating to the Loans and that were used by the Originator in selecting the Loans conveyed to the Trust Depositor pursuant to Section 2.01 (and any Substitute Loans conveyed to the Trust Depositor pursuant to Section 2.04).

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Financial Records means any document or summary of information contained in a document, including electronic documents, that contains information about the financial activities or position of a person including, but not limited to, information about the assets, balance sheets, budgets, cash flow, earnings, revenue, expenditures, income, investments, losses, liabilities, payroll, profits, retained earnings, or taxes.

  • Ownership Restrictions means collectively the Ownership Limit as applied to Persons other than the Initial Holder or Look-Through Entities, the Initial Holder Limit as applied to the Initial Holder and the Look-Through Ownership Limit as applied to Look-Through Entities.

  • Books and Records means all books, records, board minutes, contracts, licenses, insurance policies, environmental audits, business plans, files, computer files, computer discs and other data and software storage and media devices, accounting books and records, financial statements (actual and pro forma), filings with Governmental Authorities and any and all records and instruments relating to the Collateral or otherwise necessary or helpful in the collection thereof or the realization thereupon.

  • Tax Records means any Tax Returns, Tax Return workpapers, documentation relating to any Tax Contests, and any other books of account or records (whether or not in written, electronic or other tangible or intangible forms and whether or not stored on electronic or any other medium) required to be maintained under the Code or other applicable Tax Laws or under any record retention agreement with any Tax Authority.

  • Client Records has the meaning set forth in Section 3.14.

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Ownership means, for purposes of this definition, control of more than a 50% interest in an entity.

  • Personnel record means a record kept by the employer that identifies the employee, to the extent that the record is used or has been used, or may affect or be used relative to that employee's qualifications for employment, promotion, transfer, additional compensation, or disciplinary action. A personnel record shall include a record in the possession of a person, corporation, partnership, or other association who has a contractual agreement with the employer to keep or supply a personnel record as provided in this subdivision. A personnel record shall not include:

  • Property records means the records created and maintained by the contractor in support of its stewardship responsibilities for the management of Government property.

  • Excluded Books and Records has the meaning set forth in Section 2.2(a).

  • Beneficial Ownership Regulation means 31 C.F.R. § 1010.230.

  • Files and Records means all files and records of Seller relating to the Business, whether in hard copy or magnetic or other format including customer and supplier lists and records; equipment maintenance records; equipment warranty information; plant plans, specifications and drawings; sales and advertising material; computer software; technical and research analyses; engineering, sales, marketing and other studies, data and plans; bid information; quality assurance records; and records relating to those employees of Seller who may become employed by Purchaser following the Closing.

  • Business Records means all records and information of any description or type created or used in the ordinary course of the operation of the Business.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Student Records Means both of the following: (1) Any information that directly relates to a student that is maintained by LEA and (2) any information acquired directly from the student through the use of instructional software or applications assigned to the student by a teacher or other LEA employee. For the purposes of this Agreement, Student Records shall be the same as Educational Records, and Covered Information, all of which are deemed Student Data for the purposes of this Agreement. Service Agreement: Refers to the Contract or Purchase Order to which this DPA supplements and modifies.

  • Project Record means the separate set of Drawings and Specifications as further set forth in paragraph 4.02A.

  • confidential records means those portions of correspondence, memoranda, files, manuals, books, lists, financial, operating or marketing records, magnetic tape, or electronic or other media or equipment of any kind in Executive’s possession or under Executive’s control or accessible to Executive which contain any proprietary information. All confidential records shall be and remain the sole property of the Company during the Term and thereafter.

  • Accounting Records means the general ledger and subsidiary ledgers and supporting schedules which support the general ledger balances.

  • Partnership Record Date means the record date established by the General Partner for a distribution pursuant to Section 5.1(a) hereof, which record date shall be the same as the record date established by the General Partner for a distribution to its stockholders of some or all of its portion of such distribution.

  • Educational records means: those official records, files, and data directly related to a student and maintained by the school or local education agency, including but not limited to records encompassing all the material kept in the student's cumulative folder such as general identifying data, records of attendance and of academic work completed, records of achievement and results of evaluative tests, health data, disciplinary status, test protocols, and individualized education programs.

  • Land Records means the property records maintained by the Recorder of Deeds for the District of Columbia.
