Parallel Investment Vehicle definition

Parallel Investment Vehicle means, with respect to a Fund Group, a parallel and or feeder partnership, real estate tax investment trust, group trust or other investment vehicle created in accordance with Section 2.3 of the Partnership Agreement of the applicable Borrower in the applicable Fund Group (or the corresponding section of the Partnership Agreement of any other Borrower or Feeder Fund in the applicable Fund Group) or otherwise thereunder.
Parallel Investment Vehicle has the meaning set forth in Section 3.04.
Parallel Investment Vehicle means any Person formed for the purpose of making any Parallel Investment.

Examples of Parallel Investment Vehicle in a sentence

  • The Credit Parties in such Fund Group have not formed any Alternative Investment Vehicles or Parallel Investment Vehicles that are not depicted on Schedule IV (or an updated Schedule IV in connection with the formation of an Alternative Investment Vehicle, Parallel Investment Vehicle or Blocker).

  • In the event any Credit Party forms an Alternative Investment Vehicle, Parallel Investment Vehicle, Blocker or Qualified Borrower, the Borrowers in the applicable Fund Group will deliver an updated Schedule IV depicting the updated fund structure of the Credit Parties in such Fund Group promptly after the formation thereof.

More Definitions of Parallel Investment Vehicle

Parallel Investment Vehicle means Parallel Investment Vehicle with respect to Class A Interests as described in Clause 5.1 of Part 1 ; Partners means, collectively, the General Partner and the Class A Limited Partners, and Partner shall mean any of the Partners;
Parallel Investment Vehicle means an additional partnership or other vehicle enabling any investor therein to invest and divest in the Lead Investor side-by-side with the Brookfield Funds;
Parallel Investment Vehicle has the meaning given to such term in Section 2.8.

  • Investment Vehicle means any investment company, separately managed account or pooled investment fund, including, but not limited to mutual fund families, exchange-traded funds, fund of funds, hedge funds, retirement accounts, and employee benefit plans, in which any Defendant has or may have a direct or indirect interest, or as to which that Defendant or its affiliates may act as an investment advisor or manager, but in which any Defendant alone or together with its, his or her respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Investment Vehicles means any investment company or pooled investment fund, including, but not limited to, mutual fund families, exchange-traded funds, fund of funds and hedge funds, in which a Defendant has or may have a direct or indirect interest, or as to which its affiliates may act as an investment advisor, but of which a Defendant or its respective affiliates is not a majority owner or does not hold a majority beneficial interest.

  • Alternative Investment Vehicle means the limited partnership, limited liability company, or similar legal structure or investment manager through which the Board invests in a portfolio company.

  • Permitted Joint Venture Investment means, with respect to an Investment by any specified Person, an Investment by such specified Person in any other Person engaged in a Permitted Business (1) in which the Person has significant involvement in the day to day operations and management or veto power over significant management decisions or board or management committee representation and (2) of which at least 20.0% of the outstanding Equity Interests of such other Person is at the time owned directly or indirectly by the specified Person.
