Parent Data Room definition

Parent Data Room means the material contained as of 11:59 p.m. on December 12, 2017 in the virtual data room established by the Parent, the index of documents of which is appended to the Parent Disclosure Letter.
Parent Data Room means the electronic data room, as it existed as of 5:00 p.m. (Calgary, Alberta time) one day immediately prior to the date of this Agreement, and made available by Parent to Company and its Representatives in connection with the Transactions.
Parent Data Room means the Parent’s electronic data room entitled “Radiant Logistics Dataroom” and posted at xxxxx://xxxxxxxx.xxxxxxxxxx.xxx, as the same is constituted as of the date immediately prior to the date hereof;

Examples of Parent Data Room in a sentence

  • No exhibit to this Agreement, nor any other material or information provided by or communications made by Parent or any of its Affiliates, or by any advisor thereof, whether in the Parent Data Room, or in any information memorandum or otherwise, or by any broker or investment banker, will cause or create any warranty, express or implied, as to the title, condition, value or quality of the Parent.

  • Parent has heretofore made available to Company in the Parent Data Room complete and correct copies of its Organizational Documents and the Organizational Documents of Parent Canadian Sub, each as amended prior to the execution of this Agreement, and each as made available to Company is in full force and effect, and neither Parent nor any of its Subsidiaries is in violation of any of the provisions of such Organizational Documents.

  • Parent has, prior to the date of this Agreement, made available in the Parent Data Room to the Company true and complete copies of the Organizational Documents of each of Parent and Merger Subsidiary as in effect on the date of this Agreement.

  • The Parent and the Purchaser have made available to the Company all material information concerning the Parent, the Purchaser, their Subsidiaries and their respective businesses through XXXXX, information disclosed in the Parent Data Room or the Parent Disclosure Letter, as applicable, and all such information as made available to the Company is accurate, true and correct in all material respects.

  • Additionally, all information provided to the Company in relation to the Company’s due diligence requests, including information not provided in the Parent Data Room Materials, is accurate in all material respects as at its respective date as stated therein.

  • The term "made available" means (i) copies of the subject materials were included in the Company Data Room or Parent Data Room, as applicable, (ii) copies of the subject materials were provided to the Parent, the Purchaser or the Company, as applicable, or (iii) the subject material was listed in the Company Disclosure Letter or Parent Disclosure Letter, if applicable, or referred to in the Company Data Room or Parent Data Room, as applicable, and copies were provided to the applicable Party if requested.

  • All Parent Data Room Materials are listed in the index posted in the Parent Data Site and the Parent Data Room Materials were accurate in all material respects as at their respective date as stated therein, or, if any Parent Data Room Materials are undated, as of the date of their delivery to the Parent Data Site for purposes of the transactions contemplated by this Agreement.

  • The term “made available” means (i) copies of the subject materials were included in the Company Data Room or Parent Data Room, as applicable, (ii) copies of the subject materials were provided to the Parent, the Purchaser or the Company, as applicable, or (iii) the subject material was listed in the Company Disclosure Letter or Parent Disclosure Letter, if applicable, or referred to in the Company Data Room or Parent Data Room, as applicable, and copies were provided to the applicable Party if requested.

  • To the extent that there has been a material change to any of the Parent Data Room Materials or any other information provided to Parent since the date posted to the Parent Data Site or provided to Parent, as the case may be, such information is accurate in all material respects or is no longer relevant or material to Parent or additional information has been provided in the Parent Data Site or to the Company which supersedes or replaces such information.


More Definitions of Parent Data Room

Parent Data Room means the RX Xxxxxxxxx Venue data room established in connection with this transaction.
Parent Data Room means the documents and information relating to Parent and its Subsidiaries provided to the Company in that certain virtual data room maintained by Parent.

Related to Parent Data Room

  • Data Room means the virtual data room maintained by the Liquidator, created for the Qualified Bidders to access information in relation to the Company;

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Virtual Data Room means the virtual data room established by the Company, access to which was given to SPAC in connection with its due diligence investigation of the Company relating to the Transactions.

  • Target Companies means the Company and its Subsidiaries.

  • Company Material Contracts has the meaning set forth in Section 3.18(a).

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Company Data means all data collected, generated, or received in connection with the marketing, delivery, or use of any Company Product, including Company-Licensed Data, Company-Owned Data and Personal Data.

  • Parent SEC Documents has the meaning set forth in Section 4.6(a).

  • Company Financial Information As defined in Section 2(a)(ii).

  • Parent Material Contract shall have the meaning set forth in Section 4.16(a).

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • Company Disclosure Documents is defined in Section 3.4(g) of the Agreement.

  • Parent Disclosure Letter means the disclosure letter delivered by Parent to the Company simultaneously with the execution of this Agreement.

  • Company Disclosure Letter has the meaning set forth in Article III.

  • Company Material Contract has the meaning set forth in Section 3.15(a).

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Dataroom means the Intralinks electronic data room established for “Project Rodeo”.

  • Business Records means, in respect of any Person, all data and Records relating to such Person, including client and customer lists and Records, referral sources, research and development reports and Records, cost information, sales and pricing data, customer prospect lists, customer and vendor data, production reports and Records, service and warranty Records, equipment logs, operating guides and manuals, financial and accounting Records, personnel Records (subject to Applicable Law), creative materials, advertising materials, promotional materials, studies, reports, correspondence and other similar documents and records.

  • Company Disclosure Schedules means the disclosure schedules delivered by the Company to the Commitment Parties on the date of this Agreement.

  • Disclosure Letter means that certain Disclosure Letter, dated as of the Closing Date, executed and delivered by the Borrower to the Administrative Agent, for the benefit of the Lenders.

  • Group Companies means the Company and its Subsidiaries.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Tax Records means any Tax Returns, Tax Return workpapers, documentation relating to any Tax Contests, and any other books of account or records (whether or not in written, electronic or other tangible or intangible forms and whether or not stored on electronic or any other medium) required to be maintained under the Code or other applicable Tax Laws or under any record retention agreement with any Tax Authority.
