Pari Passu Documents definition

Pari Passu Documents means the Intercreditor Agreement, Existing Indenture Documents, the 2012 Indenture Documents, the Term Loan Documents, the Credit Agreement Documents and any other document or instrument evidencing or governing any Other Pari Passu Obligations.

Pari Passu Documents means, collectively, the Revolving Credit Agreement Documents and the Indenture Documents.

Pari Passu Documents means, collectively, the Loan Documents and any document or instrument evidencing or governing any Other Pari Passu Obligations.

Examples of Pari Passu Documents in a sentence

• Except during any period in which Pari Passu Indebtedness Documents are in effect and the Pari Passu Lenders have any obligation to extend or maintain credit thereunder or Pari Passu Indebtedness is outstanding thereunder, the provisions of this Agreement in favor of the Pari Passu Collateral Agent and the Pari Passu Lenders, or relating to the Pari Passu Indebtedness or any Pari Passu Documents, or any Liens thereunder or Collateral therefor, shall not be effective.

• This Assignment shall constitute one of the Pari Passu Documents.

• Additionally, in the event the Pari Passu Obligations of any Series are modified pursuant to applicable law (including, without limitation, pursuant to Section 1129 of the Bankruptcy Code), any reference to such Pari Passu Obligations or the Pari Passu Documents governing such Pari Passu Obligations shall refer to such obligations or such documents as so modified.

• Without limiting the generality of the foregoing clause, when the Assignee assigns or otherwise transfers any interest held by it under the Pari Passu Documents to any other Person pursuant to the terms of the Pari Passu Documents, that other Person shall thereupon become vested with all the benefits held by such Assignee under this Assignment.

• Except as otherwise expressly provided herein, the Pari Passu Secured Parties will be entitled to manage and supervise their respective loans and extensions of credit under the applicable Pari Passu Documents in accordance with law and as they may otherwise, in their sole discretion, deem appropriate.

More Definitions of Pari Passu Documents

Pari Passu Documents means, with respect to any series of Additional Pari Passu Debt, the loan agreements, promissory notes, indentures and all other agreements, instruments and other documents at any time executed or delivered by the Company or any Guarantor or any other person with, to or in favor of the Pari Passu Agent or any other Pari Passu Secured Party in respect of such series in connection therewith or related thereto.

Pari Passu Documents means the Note Documents and the Other Pari Passu Documents.

Pari Passu Documents means the credit, pledge, guarantee and security documents governing, evidencing or securing the Pari Passu Lien Obligations (and any Additional Pari Passu Lien Obligations), including, without limitation, the XHR Credit Agreements, this Indenture, any other Additional Pari Passu Agreement and the Pari Passu Security Documents.

Pari Passu Documents means, collectively, the Revolving Credit Agreement Documents, the Note Documents and any document or instrument evidencing or governing any Other Pari Passu Obligations.

Pari Passu Documents means this Agreement, the 2027 First-Priority Note Indenture, the 2028 First-Priority Note Indenture, the 2029 First-Priority Note Indenture, the Existing Term Loan Facility, and any documents governing additional Pari Passu Obligations.

Pari Passu Documents means any indenture, Credit Facility or other agreement pursuant to which any Pari Passu Obligations is incurred and the Notes Collateral Security Documents related thereto.

Pari Passu Documents means this Indenture, the EIB Facility, the indenture governing Existing Secured Notes and any documents governing additional Pari Passu Obligations.
