Pari Passu Security Documents definition

Pari Passu Security Documents means each security agreement, pledge agreement, deed of trust, mortgage and other agreement entered into in favor of the Collateral Agent for purposes of securing the Pari Passu Obligations and each financing statement and other document or instrument delivered to create, perfect or continue the Liens thereby created.

Pari Passu Security Documents means, collectively, (i) the Credit Agreement Collateral Documents and (ii) the Additional Security Documents.

Pari Passu Security Documents means “Pari Passu Security Documents” as defined in the Intercreditor Agreement.

Pari Passu Security Documents means the Pari Passu Pledge Agreement and any other agreement, document or instrument pursuant to which a Lien on the Collateral is granted or purported to be granted to a collateral agent securing Pari Passu Lien Obligations, including any Additional Pari Passu Lien Obligations, or under which rights or remedies with respect to such Liens are governed.

Pari Passu Security Documents means the Credit Facility Pledge Agreement, the Term Loan Pledge Agreement, the 2025 Notes Pledge Agreement, the 2028 Notes Pledge Agreement and any other agreement, document or instrument pursuant to which a Lien on the Collateral is granted or purported to be granted to a collateral agent securing Pari Passu Lien Obligations including any Additional Pari Passu Lien Obligations or under which rights or remedies with respect to such Liens are governed (including the Notes Pledge Agreement).

Pari Passu Security Documents means the “Security Documents” as defined in the Term Loan Agreement and Modifications thereof and, with respect to any Additional Secured Debt constituting Pari Passu Debt, any security agreement, mortgage, any security trust deed, and each other security document, deed of trust, charge or pledge agreement delivered in accordance with applicable local or foreign law to grant a valid, perfected security interest in any property as Collateral for the applicable Series of Pari Passu Debt, and all UCC, PPSA or other financing statements or financing change statements, control agreements, bailee notification letters, or instruments of perfection required by the applicable Pari Passu Documents or any other such security document, charge or pledge agreement to be filed with respect to the security interests in property and fixtures created pursuant to any security agreement or any mortgage and any other document or instrument utilized to pledge or grant or purport to pledge or grant a security interest or lien on any property as Collateral for the applicable series of Pari Passu Debt; provided “Pari Passu Security Documents” shall not include the Term Loan Agreement or any indenture, credit agreement, note purchase agreement or other agreement governing any Series of Pari Passu Debt.

Pari Passu Security Documents means the Initial Pari Passu Security Agreement, the Initial Other Pari Passu Security Agreement, the Junior Priority Lien Intercreditor Agreement (if any), the other Security Documents (as defined in the Initial Indenture and the Initial Other Indenture) and each other agreement entered into in favor of the Collateral Agent for any Series of Pari Passu Obligations for the purpose of securing any Series of Pari Passu Obligations.

Pari Passu Security Documents. Collateral documents in respect of the Pari Passu Permitted Other Debt Obligations substantially identical to the Security Documents, with a collateral trustee (the “Pari Passu Collateral Trustee”) appointed as the representative of the Pari Passu Permitted Other Debt Secured Parties.

Pari Passu Security Documents means the Term Security Documents, the Notes Security Documents and any Additional Pari Passu Security Documents.

Pari Passu Security Documents the Security Documents entered into (including, without limitation, by executing a Secured Party Security Agreement Supplement) in favor of the Collateral Agent for the purpose of securing any Pari Passu Payment Lien Obligations.
