Pari Passu Holders definition

Pari Passu Holders means any “Holder” (as defined in the 2005 Registration Rights Agreement) having incidental registration rights pursuant to Section 2.3 of the 2005 Registration Rights Agreement.

Pari Passu Holders means the Holders and any holder of Other Securities who has been granted piggyback registration rights in compliance with Section 2.10 that are pari passu with the piggyback registration rights of the Holders.

Pari Passu Holders means the holders of Pari Passu Securities under the Existing RRA.

• If the Initiating Holders so elect, the offering of such Registrable Securities pursuant to such Demand Registration shall be in the form of a firm commitment Underwritten Offering; and such Initiating Holders may require that all Persons (including other Holders and Pari Passu Holders) participating in such registration sell their Registrable Securities or Pari Passu Securities to the Underwriters at the same price and on the same terms of underwriting applicable to the Initiating Holders.

• To the extent necessary, the Company shall cause such actions to be taken by any of its Subsidiaries so as to enable, to the maximum extent permitted by law, the proceeds of a Liquidation Event to be distributed to the Series E Holders and the Pari Passu Holders in accordance with this Section.

More Definitions of Pari Passu Holders

Pari Passu Holders means any "Holder" (as defined in the 2005 Registration Rights Agreement) having incidental registration rights pursuant to Section 2.3 of the 2005 Registration Rights Agreement.

Pari Passu Holders shall have the meaning assigned to such term in Recital D hereof.

Pari Passu Holders means persons who are contractually entitled to inclusion in the offering, on a pari passu basis with the Holders, of shares of Common Stock issued or issuable to such persons, which shares will be subject to reduction of the number to be included in the registration on a pro rata basis with the Registrable Securities held by the Investors; provided that the Company may not grant such rights to Pari Passu Holders with respect to an aggregate of more than 50% of the number of Registrable Securities (excluding Management Shares) issued or issuable upon conversion of the aggregate number of Shares of the Company's Series B Preferred Stock issued pursuant to the Series B Purchase Agreement without the written consent of the Holders of at least a majority of the Registrable Securities (excluding Management Shares).

Pari Passu Holders means the holders of warrants outstanding on the date hereof to purchase a total of 3,453,285 shares of the Company's Common Stock, consisting of holders of the Company's outstanding Senior Subordinated notes (2,048,725 shares), Deutsche Bank, Alex. Browx (0,054,560 shares) and Bank of America, N.A. (350,000 shares), who have registration rights.

Pari Passu Holders has the meaning assigned to such term in the preliminary statement of this Agreement.

Pari Passu Holders means the holders of Pari Passu Securities under the Existing RRA. “Pari Passu Securities” means “Registrable Securities” as defined in the Existing RRA.

Pari Passu Holders means holders of other securities that are entitled to registration rights that are pari passu with those of the Holders of Registrable Securities.
