Parking Company Shares definition

Parking Company Shares means shares owned by a Property Company or the Issuer (in each case as a result of an Acquisition) in any parking company, provided that such shares owned by the Issuer shall be "Parking Company Shares" for the purposes of the Notes Finance Documents only if (i) the acquisition of such shares has been financed under the Bank Finance Documents and/or the Notes Finance Documents and/or funds standing to the credit of the Deposit Accounts and/or (ii) such shares are subject to Transaction Security.

Examples of Parking Company Shares in a sentence

  • Upon a sale or other disposal (voluntary or mandatory) of all or part of the shares in a Property Company, Partly Owned Company Shares, Parking Company Shares, Managing Com- pany Shares or a Property, in accordance with Clause 11.4 (Disposals), the Issuer shall apply an amount equal to the relevant Release Price in prepayment of the Secured Obligations, in the amount and in the order of application contemplated by Clause 14 (Distribution of Proceeds) and subject to Clause 11.4(f) (Disposals).

  • Company Shares means the common shares in the capital of the Company;

  • Company Share Plans means, collectively, (i) the 2018 Share Incentive Plan of the Company, which replaced the Company’s 2010 Share Incentive Plan in its entirety, and (ii) the Post-IPO Share Incentive Plan of the Company.

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Company Shareholders means holders of Company Shares.

  • Initial Merger Consideration has the meaning set forth in Section 2.2(a).

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • Company Shareholder means a holder of Company Shares.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Coop Shares Shares issued by a Cooperative Corporation.

  • car-share parking space means a parking space that is reserved and actively used for car-sharing;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.
