Patent Files definition

Patent Files means, with regard to the Purchased Patents, the file histories for such Patents in the possession or control of the Company or any of its Affiliates.
Patent Files means, with regard to Patent Rights included the Specified IP Rights, the file histories for such Patent Rights in the physical possession of or under the control of Seller and its Specified Affiliates as of the Initial Closing Date.
Patent Files means, with regard to a Program Patent: (a) the complete file histories for such Program Patent in the possession of Seller; and (b) all files relating to such Program Patent that are held or maintained on Seller’s behalf by Seller’s outside patent counsel, Xxxxxxxx Xxxxxxx Xxxxxxxxxxx, including all contents of such files.

  • Following the Closing, Purchasers shall provide Sellers, at Sellers’ sole cost, with reasonable access to the foregoing materials and records (excluding the Patent Files), and copies thereof, for any reasonable business purpose to the extent then held by Purchasers; provided that adequate measures to maintain confidentiality are employed to the reasonable satisfaction of Purchasers.


More Definitions of Patent Files

Patent Files means complete prosecution files for the Assigned Patents, including all correspondence and filings with patent authorities with respect to such Patents and any related materials or documents in the possession or control of Seller or its Affiliates or any attorney or patent agent involved in the prosecution or enforcement of such Patents.
Patent Files mean copies (or originals, where available to Kadmon or its agents or Affiliates) of the following to the extent comprising or relating to Kadmon Patent Rights: (a) all patents, patent applications, assignments and correspondence to and from any country in the Territory (whether or not to or from Kadmon); and (b) to the extent that the same are in existence and related to the items in clause (a), all files, records, workbooks (including, without limitation, laboratory notebooks), correspondence, data, notes and information in the possession or Control of Kadmon or its agents.
Patent Files means, with regard to the Assigned Patent Rights, the following as in existence on the Effective Date: (a) the complete file histories; (b) all correspondence between Calando and Calando’s outside counsel related to the subject matter of such rights; (c) all internal Calando correspondence related to the subject matter of such rights; (d) copies of prior art searches and search results related to the subject matter of such rights; (e) copies of publications identified in prior art searches; and (f) all opinions or other analyses related to the subject matter of such rights.
Patent Files means copies (or originals, where available to Seller or its agents) of the following to the extent comprising or relating to the Patent Rights: (i) all patents, patent applications, assignments and correspondence to and from the United States Patent and Trademark Office (“USPTO”) and any other foreign patent offices (whether or not to or from Seller); and (ii) all files, records, workbooks (including without limitation laboratory notebooks) and other material information in the possession or control of Seller or its agents, of which Seller is aware, as of the Effective Date.
Patent Files means any and all files, books, records, patent application documents, inventor assignment agreements and/or inventor reports, MABVAX claim(s) of invention(s), and all other similar or like information that solely and exclusively relate to the [***] Program Patents.
